MANAGEMENT CLAUSE. The management of the Company and the direction of its employees, including the establishment of working conditions, the hiring, promoting, demoting, and rehiring of employees, the suspending, discharging or otherwise disciplining of employees and the reduction or increase in working forces are the exclusive functions of management, to the extent that any of such matters are not otherwise covered or provided for in this Agreement; and provided that in the exercise of such functions, the management shall not violate any provision of this Agreement or discriminate against any employee because of his membership in, or lawful activity on behalf of the Union.
