Management and Services. 2.10 The Environmental Consultant shall use the following instrumentation during performance of its services: (i) direct reading moisture meters, and (ii) direct infrared camera. Digital Photographs or Digital Picture Documentation is also required.

HTA designated as the CTSA will administer the system-wide Dial-A-Ride (DAR) contract, administer the DAR certification program, attend Social Service Transportation Advisory Council (SSTAC) and Service Coordination Committee (SCC) meetings, coordinate with transit and social service transportation programs to eliminate duplications and cost of services thus providing a more efficient and cost effective transit service. HTA shall identify and implement efficiencies in community transportation operations, identify opportunities to develop cooperative agreements between agencies to coordinate financial resources and capital assets, partner with other agencies to apply for grants, and provide assistance for grant applications.
Management and Services. Based on the above proposed organisational model, the management structure should be simple and based on the XX-XXXX hosted by the UIC and the trusted CPO. The UIC and XX-XXXX bodies should: • Select the trusted CPO, • Manage on day-to-day basis the selected CPO, • Coordinate activities with the European CSIRT Network (ECN). The CPO should provide the following services: • Highly available and secure multiple communication channels. • A secure platform (databases and tools) for information sharing and actionable intelligence dissemination. • A technical office supporting all the actors involved. • A centre for threat intelligence expertise.
Management and Services. The Agent shall have (i) received satisfactory results of background checks on key management; and (ii) performed a review of essential key services performed by the Parent 30 -28- or any of its subsidiaries for the Company which shall be satisfactory to the Agent.

For the Services described in Section 1, other management services provided to the Company by senior management of CGC and in consideration of the retention by CGC of certain obligations with respect to the Continental Grain Company Pension Plan, the Company shall pay to CGC a fee in an amount determined in accordance with the following sentence (the “Management and Services Fee”). The Management and Services Fee shall initially be $6,000,000 per year and shall be reduced by $250,000 each year on the anniversary of the Agreement; provided, that in the event the Company and CGC determine to terminate any portion of the services provided hereunder, the parties shall negotiate an appropriate reduction in the Management and Services Fee.
