Maintenance Renewal. The Sub Agent undertakes to inform the Underwriting Agent of any changes during the duration of the policy (including renewal), which would affect the Underwriting Agent’s attitude to covers or levels of premiums or which the Underwriting Agent should be made aware. The Sub Agent must liaise with the Underwriting Agent prior to each renewal to enable the Underwriting Agent to provide notification of renewal terms or non-renewal in good time to allow the Sub Agent to meet its regulatory obligations to customers in this respect.
Maintenance Renewal. For so long as Micro Focus continues to offer Maintenance for the Maintained Software, Licensee may, subject to Micro Focus’ acceptance, renew Maintenance by delivering a purchase order or executing the quote for the applicable Maintenance fees on or about each Renewal Date, or by allowing this Agreement to automatically renew pursuant to section 4. If Licensee renews M a i n t e n a n c e or if Licensee permits this Agreement to automatically renew, Licensee must purchase Maintenance for all licenses of the Maintained Software that it has copied, used, or otherwise exploited. Micro Focus may increase Maintenance fees by up to 10% over the previous year’s fees. If the r e n e w a l i n s t r u c t i o n o r payment of the Maintenance fee for a Renewal Period is not received by the due date, or if Licensee does not renew Maintenance for all copies of the Maintained Software or Licensee reduces the number of copies of the Maintained Software, then Micro Focus may immediately and without notice suspend provision of Maintenance and Licensee will no longer be eligible for the 10% limitation on price increases for the current and subsequent years set forth above. Licensee may then reinstate Maintenance in accordance with the Reinstatement clause below.
Maintenance Renewal. Reseller shall use commercially reasonable efforts to ensure that all End Users annually renew the Maintenance and Support Program. At the request of BlueCat, Reseller shall provide details of each renewal End User.
Maintenance Renewal. 10.1 For so long as Micro Focus continues to offer Support Services for the Licensed Software and subject to clause 2.1 above, Licensee may, subject to Micro Focus´ acceptance, renew the Support Services by delivering Micro Focus a purchase order or executing the quote generated by Micro Focus referencing these Support Services for the applicable Maintenance Fee for each copy of the Licensed Software on or about each Renewal Date or by allowing this Agreement to automatically renew pursuant to clause 2.1. If the parties agree to renew the Support Services or if Licensee permits this Agreement to automatically renew, Licensee must do so for all licensed copies in its possession of the Micro Focus software product(s) for which Support Services are renewed. Maintenance Fees will be due for payment by Licensee by the later of (i) thirty (30) days from the date of invoice or (ii) such Renewal Date. Micro Focus may increase Maintenance Fees by up to 10% over the previous year’s fees. If payment of the Maintenance Fee for the new Renewal Period is not received by the due date, Micro Focus may immediately and without notice suspend the provision of Support Services for the Maintained and Licensee will no longer be eligible for the 10% limitation on price increases for the current and subsequent years set forth above. Licensee may then reinstate the Support Services in accordance with Clause 10.2 below.
Maintenance Renewal. 7.1 For so long as Micro Focus continues to offer Support Services for the Maintained Software and subject to clause 2.1 above and 12.4 below, Licensee may, subject to Micro Focus´ acceptance, renew the Support Services by delivering Micro Focus a purchase order or executing the quote generated by Micro Focus referencing these Support Services for the applicable Maintenance Fee for each copy of the Maintained Software on or about each Renewal Date. If the parties agree to renew the Support Services, Licensee must do so for all licensed copies in its possession of the Micro Focus software product(s) for which Support Services are renewed. Maintenance Fees will be due for payment by Licensee by the later of
Maintenance Renewal. Company shall be responsible for generating quotes, receiving purchase orders, invoking and collecting all Maintenance Renewals from End User customers.
Maintenance Renewal. A Software Maintenance renewal reminder will be sent electronically to Licensee thirty (30) days prior to Maintenance expiration. The Renewal reminder will include instructions on how to renew maintenance on-line. This Software Maintenance Plan will be considered renewed once a purchase order has been issued or payment is received. If Maintenance has not been renewed, another Software Maintenance renewal reminder will be sent on the expiration date and again thirty (30) days after the expiration date. Maintenance will be terminated if a purchase order or a payment is not received on or before the expiration date. Licensee has 90 days to reinstate Maintenance for the regular maintenance fee outlined in (4) after Maintenance has been terminated. If Maintenance has been expired for 90 or more days, Licensee may reinstate maintenance by purchasing an Upgrade. The Upgrade fee is 35% of the then current license fee and will reinstate Maintenance for a full year from the date the Upgrade is purchased.

If renewal instruction or payment of the Maintenance fee for a Renewal Period is not received by the due date, or if Licensee does not renew Maintenance for all copies of the Maintained Software or Licensee reduces the number of copies of the Maintained Software, then Micro Focus may immediately and without notice suspend provision of Maintenance and Licensee will no longer be eligible for the 10% limitation on price increases for the current and subsequent years set forth above. Licensee may then reinstate Maintenance in accordance with the Reinstatement clause below.

For so long as Pegasie Technologies continues to offer Maintenance for the Maintained Software, Licensee may, subject to Pegasie Technologies’ acceptance, renew Maintenance by delivering a purchase order or executing the quote for the applicable Maintenance fees on or about each Renewal Date. If Licensee renews M a i n t e n a n c e Licensee must purchase Maintenance for all licenses of the Maintained Software that it has copied, used, or otherwise exploited . Pegasie Technologies may increase Maintenance fees by up to 10% over the previous year’s fees or such greater amount necessary to increase the support fee to the then-current maintenance list price. If Licensee allows Maintenance to lapse or payment of the Maintenance fee for a Renewal Period is not received by the due date, Pegasie Technologies may immediately and without notice suspend provision of Maintenance and Licensee will no longer be eligible for the 10% limitation on price increases for the current and subsequent years set forth above. Licensee may then reinstate Maintenance in accordance with the Reinstatement clause below. Licensee will also no longer be eligible for the 10% limitation on price increases if Licensee does not renew Maintenance for all copies of the Maintained Software or Licensee reduces the number of copies of the Maintained Software.
Maintenance Renewal. Maintenance and support services under this Agreement for Software licensed under any Software Attachments are provided for a fixed term of twelve (12) months and automatically renew on an annual basis unless terminated by either party on not less than three (3) months’ notice in writing given at any time prior to the relevant renewal date. If the agreement for the provision of maintenance and support services terminates or otherwise expires and the Customer subsequently wishes to renew maintenance and support services, Customer shall pay the support fees that would have been due for the period during which maintenance and support services were not provided plus a reinstatement fee in accordance with Supplier’s then current reinstatement policy.
