Common use of Maintenance Outages Clause in Contracts

Maintenance Outages. If Seller needs or desires to schedule a Maintenance Outage of the Facility, Seller shall notify Buyer, as far in advance as reasonable and practicable under the circumstances, of such proposed Maintenance Outage, and the Parties shall plan such outage to mutually accommodate the reasonable requirements of Seller and delivery expectations of Buyer. Notice of a proposed Maintenance Outage shall include the expected start date of the outage, the amount of output of the Facility that will not be available and the expected completion date of the outage. Buyer may request reasonable modifications in the schedule for the outage. Subject to its operational and maintenance needs, Seller shall comply with such requests to reschedule a Maintenance Outage. If rescheduled, Seller shall notify Buyer of any subsequent changes in the output that will not be available to Buyer and any changes in the Maintenance Outage completion date. As soon as practicable, any such notifications given orally shall be confirmed in writing.

If during the Term Seller needs or desires to schedule a Maintenance Outage of the FacilityFacility which will effect more then ***** of the Nameplate Capacity Rating, Seller shall shall, at least 3 days prior to such outage, notify Buyer, as far in advance as reasonable and practicable under the circumstances, Buyer of such proposed Maintenance Outage, Outage and the Parties parties shall plan such outage of capacity to mutually accommodate the reasonable requirements of Seller and delivery expectations service obligations of Buyer. Notice of a proposed Maintenance Outage shall include the expected start date of the outage, the amount of output capacity of the Facility that will not be available and the expected completion date of the outage, and shall be given to Buyer at the time the need for the Maintenance Outage is determined by Seller. Buyer shall promptly respond to such notice and may request reasonable modifications in the schedule for the outage. Subject to its operational and maintenance needs, Seller shall use all reasonable commercial efforts to comply with such requests a request to reschedule a Maintenance Outage. If rescheduled, Seller shall notify Buyer of any subsequent changes in the output that will such capacity not be available to Buyer and or any subsequent changes in the such Maintenance Outage completion date. As soon as practicable, any such notifications given orally shall be confirmed in writing.

If If, during the Term, Seller needs or desires to schedule a Maintenance Outage of the FacilityOutage, Seller shall notify Buyer, as far in advance as reasonable and is practicable under the circumstances, of such proposed Maintenance Outage, and the Parties shall plan such outage of capacity to mutually accommodate the reasonable requirements of Seller and delivery expectations service obligations of Buyer; provided, however, Buyer’s requirements shall not unduly prejudice or jeopardize the operation and maintenance of the Project. Notice of a proposed Maintenance Outage shall include the expected start date of the outage, the amount of output of the Facility Project Capacity that will not be available affected by the Maintenance Outage, and the expected completion date of the outageMaintenance Outage. Buyer shall promptly respond to such notice and may request reasonable modifications in the schedule for the outageMaintenance Outage. Subject to its operational and maintenance needs, Seller shall use reasonable efforts to comply with such requests Buyer’s request to reschedule a Maintenance Outage. If rescheduled, Seller shall notify Buyer of any subsequent changes in the output that will such Project Capacity not be available to Buyer and or any subsequent changes in the such Maintenance Outage completion date.
