Made Available. An item shall be considered “made available” to a Party hereto, to the extent such phrase appears in this Agreement, only if such item was included in the Data Room prior to the date of this Agreement and Purchaser had full access thereto or otherwise delivered to the Purchaser or its representatives. The phrases “provide to,” “furnish to” and “deliver to” and phrases of similar import mean that an accurate and complete paper or electronic copy of the information or material referred to has been delivered to the party to whom such information or material is to be provided.
