Long Stop Date. In the event that any condition to the Closing hereunder is not fulfilled or waived within sixty (60) days of the signing of this Agreement, this Agreement shall terminate. Notwithstanding any termination of this Agreement, the obligations of the parties specified in Article 8 shall continue unimpaired and in full force and effect, and such termination shall not relieve any party from any liability hereunder for any misrepresentation or for the breach of any warranty, agreement or obligation hereunder.
Long Stop Date. If the Effective Date has not occurred on or before the date falling 10 Business Days after the date of this letter, then the provisions of this letter shall cease to have effect.
Long Stop Date. The date which is 1 calendar month from the date of this Agreement.
Long Stop Date. The Merger shall not have been consummated on or before December 31, 2014 (the “Termination Date”); provided that the right to terminate this Agreement pursuant to this Section 8.02(a) shall not be available to any Party whose failure to fulfill any of its obligations under this Agreement has been a cause of, or resulted in, the failure to consummate the Merger by such date; or
Long Stop Date. If the conditions precedent set out in Section 3 of this Agreement have not been fulfilled or waived on or before May 13, 2016, the rights and obligations of the Company and Large Scale under this Agreement shall lapse and be of no further force and effect and neither party shall have any liability under this Agreement (without prejudice to the rights of the parties hereto in respect of any antecedent breaches of this Agreement).
Long Stop Date. Unless otherwise agreed by the Parties hereto, if the Closing Conditions are not satisfied or waived on or prior to 30 September 2011, the Purchaser or the Seller may, in its sole discretion, terminate this Agreement by notice to the other, and no Party shall have any claim against the other save for any claim arising from breach of any obligation contained in Clause 4.2, provided that no such termination notice may be given by a Party which is in default of its obligations under this Agreement.
Long Stop Date. In any event, Closing Date should occur by or before the Long Stop Date. If Closing Date has not occurred by or before the Long Stop Date, this Agreement will automatically terminate as between the Parties without any Party having the right to claim for any damages against any of the other Parties.
Long Stop Date. In the event the Supply Period Commencement Date has not occurred within [duration determined by the Parties] from the execution date of this Agreement (the Long-Stop Date), either Party shall have the right to terminate this Agreement and each Party shall be discharged from its respective rights and obligations under this Agreement.
Long Stop Date. All of the Conditions Precedent shall be satisfied no later than 30 (thirty) days from the Effective Date or such later date as may be mutually agreed to between the Parties in writing (the “Long-Stop Date”). If the Conditions Precedent have not been satisfied on or prior to such Long-Stop Date, each of IITK shall have the right to terminate this Agreement immediately by written notice to the other Parties hereto and no Party shall have any further rights or obligations under this Agreement against IITK.
