Local Compliance. The Holder remains personally responsible for any local compliance requirements resulting from his or her receipt, ownership, and subsequent sale of Common Stock, as well as the transfer of funds abroad, the making of a foreign investment, and the opening or use of a U.S. brokerage account in relation to his or her receipt of Common Stock. For Xxxxxx’s whose Award under this Agreement is subject to China SAFE regulations, the Holder agrees to abide by applicable requirements for disposal of vested shares following termination of employment and hereby affirmatively authorizes the Company to direct the sale or disposal of shares within 6 months following termination of employment in order to comply with these requirements.
Local Compliance. The channel service used by Party B shall be deployed within the territory of the People's Republic of China, and shall satisfy the requirements of technical audit or regulatory authority for field inspection and the requirements of China judicial authority for investigation and evidence collection.

Local Compliance. Siemens shall inform Unisphere of the requirements of any governmental authorities concerning approval of the Products in the Territory. Siemens shall obtain all such approvals after obtaining Unisphere's consent prior to making any filings with applicable approving authorities. Unisphere shall bear the cost of such filings, including equipment and filing fees, in those countries where Unisphere elects to have the applications filed in its own name, which list shall be included in Exhibit C to this Agreement, as amended from time to time; in all other countries, the parties shall agree to the filing process and costs on a case-by-case basis by mutual agreement. Except as otherwise expressly agreed to by Unisphere, Siemens agrees to obtain any such approvals in Unisphere's name. The parties agree to cooperate in these filings by providing reasonably necessary information and documentation.

OEM shall, at its sole expense obtain and maintain the governmental authorizations, registrations and filings that may be required under the laws of any Foreign Jurisdiction to execute or perform under this Agreement. OEM shall otherwise comply with all laws, regulations and other legal requirements within any Foreign Jurisdictions that apply to this Agreement, including without limitation tax, foreign exchange and consumer protection legislation. OEM will promptly notify Nuance of any change to these laws, regulations or other legal requirements that trey affect the impartation of the Software and related items, or OEM’s or Nuance’s performance under this Agreement.
Local Compliance. Company will, at its expense, obtain and maintain the ---------------- governmental authorizations, restrictions and filings that may be required under the laws of the Territory to execute or perform this Agreement. Company will otherwise comply with all laws, regulations and other legal requirements within the Territory that apply to this Agreement, including tax and foreign exchange legislation. Company will promptly notify STERLING COMMERCE of any change in these laws, regulations or other legal requirements that may affect the importation of the EC Products or Company's performance of this Agreement.
Local Compliance. Compliance with Program Requirements expressly includes compliance with applicable local codes, ordinances, and standards.

Accessing and using ILGON Technology Services may not be legal by certain individuals or in certain countries. You hereby agree to comply with all local rules and laws relating to the use of ILGON Technology Services, cryptocurrency ownership or transfer, and blockchain interaction. YOU CAN USE ILGON TECHNOLOGY SERVICES ONLY IF PERMITTED UNDER THE LAWS OF YOUR JURISDICTION. MAKE SURE THAT THIS AGREEMENT IS IN COMPLIANCE WITH ALL LAWS, RULES, AND REGULATIONS THAT APPLY TO YOU. YOU ARE PROHIBITED FROM USING ILGON TECHNOLOGY SERVICES FOR PURPOSES OF SELLING OR ACQUIRING ANY ILLEGAL PRODUCTS, SERVICES, OR FOR ANY OTHERWISE ILLEGAL ACTIVITY.
