Loans to Designated Subsidiaries. Each Designated Subsidiary may request, through an Authorized Person, Local Currency Loans or Eurocurrency Loans and Convert or Continue such Loans, and shall repay the principal of and accrued interest on such Loans, all as though the Designated Subsidiaries were parties to this Agreement and references to the "Company" in Sections 1.3, 1.4, 1.5, 1.7, 2.1, 3.1, 3.4, 3.5, 5.2 and 6.1 shall mean and include the Designated Subsidiaries. The Relevant Bank may request additional documentation of the indebtedness if customary at the place of business of the Relevant Bank; provided, however, that the terms and conditions of that documentation shall be consistent with those set forth in this Agreement unless unlawful or ineffective under local law.

Loans to Designated Subsidiaries. The obligation of the Lenders to make Loans to a Designated Subsidiary is subject to receipt by the Administrative Agent of the following documents and satisfaction of the conditions set forth in this Section 6.03 as well as the conditions set forth in Sections 6.01 and 6.02, each of which shall be satisfactory to the Administrative Agent in form and substance:

Loans to Designated Subsidiaries. The obligation of the Lenders to make Loans to a Designated Subsidiary is subject to receipt by the Administrative Agent of the following documents and satisfaction of the conditions set forth in this Section 6.03 as well as the conditions set forth in Sections 6.01 and 6.02, each of which shall be satisfactory to the Administrative Agent in form and substance: (a) A Notice of Designation of Designated Subsidiary executed by the Company and such Designated Subsidiary. 33 (b) A certificate of the Secretary or an Assistant Secretary of such Designated Subsidiary setting forth (i) resolutions of its board of directors with respect to the authorization of such Subsidiary to execute and deliver the Loan Documents to which it is a party and to enter into the transactions contemplated in those documents, (ii) the officers of such Subsidiary (y) who are authorized to sign the Loan Documents to which such Subsidiary is a party and (z) who will, until replaced by another officer or officers duly authorized for that purpose, act as its representative for the purposes of signing documents and giving notices and other communications in connection with this Agreement and the transactions contemplated hereby, (iii) specimen signatures of the authorized officers, and (iv) the articles or certificate of incorporation and bylaws of such Subsidiary, certified as being true and complete. The Agents and the Lenders may conclusively rely on such certificate until the Administrative Agent receives notice in writing from the Company to the contrary. (c) The Notes of such Designated Subsidiary, duly completed and executed. (d) An opinion of counsel to such Designated Subsidiary, substantially in the form of Exhibit J. (e) Such Designated Subsidiary shall be a Subsidiary. (f) The most recent unaudited balance sheet of such Designated Subsidiary certified by a Responsible Officer. (g) Such other documents as the Administrative Agent may reasonably request. ARTICLE VII

Loans to Designated Subsidiaries. Not make or extend any loan or advance to any Designated Subsidiary (a) not designated as such on the Closing Date, without prior written notice of such loan or advance to Agent and (b) until such time as Agent has received resolutions of such Designated Subsidiary's board of directors authorizing or ratifying the execution, delivery and performance of all Related Agreements executed by such Designated Subsidiary, in form and substance satisfactory to Agent; and not permit any Designated Subsidiary to make or extend any loan or advance to another Designated Subsidiary. Upon Agent's request, prior to any such loan or advance from Borrower to a Designated Subsidiary not designated as such on the Closing Date, such Designated Subsidiary shall execute and deliver agreements in the same form as those delivered to Agent on the Closing Date by the currently existing Designated Subsidiaries in order to evidence such loans and advances and to grant Borrower a first priority perfected Lien on such Designated Subsidiary's property of the types described in Section 3.1 as collateral therefor. Borrower shall assign the proceeds of such loans, all of the foregoing agreements, documents and instruments and its Lien related thereto to Agent, in each case in a manner, and pursuant to agreements, satisfactory to Agent.
