The Depositor shall have no obligation to sell any Series 2002-1 Additional Pool Loan to the Issuer if it has not been paid the Additional Pool Loan Purchase Price therefor. The Additional Pool Loan Purchase Price for any Series 2002-1 Additional Pool Loans and the related Pool Assets conveyed to the Issuer under this PPA Supplement on each Addition Date shall be a dollar amount equal to the aggregate outstanding principal balance of such Additional Pool Loans sold on such Addition Date, adjusted to reflect the fair market value thereof.
