LITIGATION PENDING OR THREATENED. Except as set forth on SCHEDULE 4.5.1, there is no action, suit, claim, arbitration, proceeding or investigation relating to the Acquired Assets or the Operations pending or threatened before any court, tribunal, panel, master or governmental agency, authority or body in which either of the Sellers is a party or which might affect the Acquired Assets or the Operations. SCHEDULE 4.5.1 sets forth all litigation relating to the Acquired Assets or the Operations to which either Seller is party.
LITIGATION PENDING OR THREATENED. Except as set forth in SCHEDULE 3.8.1, there is no action, suit, arbitration, proceeding, grievance or investigation, pending or (to the knowledge of Seller) threatened, before any court, tribunal, panel, master or governmental agency, authority or body in which Seller is a party or to which the Division is subject, nor is Seller, or any officer or employee of Seller enjoined from any action or subject to any continuing restriction which may adversely affect the Division.
LITIGATION PENDING OR THREATENED. Except as listed in Schedule 3.0, there are no claims, actions, suits, hearings, arbitrations, disputes, proceedings (public or private) or governmental investigations, pending or threatened, against or affecting Company, the Units, the Assets, or the Business, at law or in equity, before or by any federal, state, municipal or other governmental or nongovernmental department, commission, board, bureau, agency, court or other instrumentality, or by any private person or entity, there is no basis for any such action, suit or proceeding, and there are no existing or threatened, orders, judgments or decrees of any court or governmental agency affecting Company, the Units, the Assets or the Business.
LITIGATION PENDING OR THREATENED. There are no claims, actions, suits, hearings, arbitrations, disputes, proceedings (public or private) or governmental investigations pending or, to the best of Buyer’s knowledge, threatened, against or affecting Buyer, at law or in equity, before or by any federal, state, municipal or other governmental or non-governmental department, commission, board, bureau, agency, court or other instrumentality, or by any private person or entity, there is no basis for any such action, suit or proceeding, and there are no existing or threatened, orders, judgments or decrees of any court or governmental agency affecting Buyer.
LITIGATION PENDING OR THREATENED. Except as set forth on Schedule 4, there are no claims, actions, suits, hearings, arbitrations, disputes, proceedings (public or private) or governmental investigations pending or threatened, against or affecting Photocomm or its assets or business, at law or in equity, before or by any federal, state or municipal or other governmental or non-governmental department, commission, board, bureau, agency, court or other instrumentality, or by any private person or entity. There is no basis for any such action, suit or proceeding, and there are no existing or threatened, orders, judgments or decrees of any court or governmental agency affecting Photocomm or any of its assets or businesses.
LITIGATION PENDING OR THREATENED. Except as set forth on SCHEDULE 5.5.1, there is no action, suit, claim, arbitration, proceeding or investigation relating to the Acquired Staker Assets or the Staker Operations pending or thxxxxxxed before any court, tribunal, panel, master or governmental agency, authority or body in which Staker is a party and which might affect the Acquired Staker Assets or the Staker Operations. SCHEDULE 5.5.0 xxxs forth all litxxxxxxn relating to the Acquired Staker Assets or the Staker Operations to which Staker xx xxxty.
LITIGATION PENDING OR THREATENED. Except as disclosed in Acquiror's Prospectus, dated October 18, 1996, there is no material action, suit, arbitration proceeding, including any grievance proceeding, or investigation pending or, to the knowledge of the Acquiror, threatened, before any court, tribunal, panel, master or governmental agency, authority or body in which the Acquiror is a party or to which its businesses or properties are subject; nor is the Acquiror, or any officer or employee of the Acquiror, enjoined from any action or subject to any continuing restriction imposed by any court, tribunal, panel, master or governmental agency, authority or body.

Except as set forth in SECTION 3.8.1 of the Disclosure Schedule, there is no action, suit, arbitration, proceeding, grievance or investigation, pending or, to the knowledge of Seller, threatened, before any court, tribunal, panel, master or governmental agency, authority or body in which Seller is a party or to which the Division or any Acquisition Asset is subject, nor is Seller, or any officer or employee of Seller enjoined from any action or subject to any continuing restriction which may adversely affect the Division.
LITIGATION PENDING OR THREATENED. Except as set forth in Schedule 3.8.1 there is no action, suit, arbitration, proceeding, grievance or investigation, pending or, to the knowledge of Seller, threatened, before any court, tribunal, panel, master or governmental agency, authority or body in which Seller is a party and to which the Division or the Acquisition Assets are subject, nor is Seller, any Shareholder of Seller or any officer or employee of Seller enjoined from any action or subject to any continuing restriction which may adversely affect the Division including, without limitation, litigation with customers or with contractors or suppliers who have performed work on or supplied equipment or materials relating to the Division.
LITIGATION PENDING OR THREATENED. Except as set forth in Schedule 3.9.1, there is no action, suit, arbitration, proceeding, grievance or investigation, pending or, to the best knowledge of Seller and Parent, threatened, before any court, tribunal, panel, master or governmental agency, authority or body in which Seller is a party or to which its respective businesses or properties are subject, nor is Seller, Parent or any officer or employee of Seller enjoined from any action or subject to any continuing restriction which may adversely affect the Business including, without limitation, litigation with customers or with contractors or suppliers who have performed work on or supplied equipment or materials relating to the Business or the properties of Seller.
