Common use of Litigation; Decrees Clause in Contracts

There are no lawsuits, claims, proceedings, investigations, injunctions, judgments, orders or decrees pending or, to Buyer’s Knowledge, threatened which challenge or seek to enjoin or delay this Agreement or the Contemplated Transactions or which would affect Buyer’s ability to perform its obligations under this Agreement or to consummate the Contemplated Transactions.
