Common use of Litigation; Compliance with Law Clause in Contracts

Litigation; Compliance with Law. There is no litigation, proceeding (arbitral or otherwise), claim, action, suit, judgment, decree, settlement, rule, order or investigation of any nature, pending, rendered or, to Purchaser’s Knowledge, threatened, against Purchaser that reasonably could be expected to adversely affect Purchaser’s ability to consummate the transactions contemplated by this Agreement.

There is no litigation, proceeding (arbitral or otherwise), claim, action, suit, judgment, decree, settlement, rule, order claim or investigation of any nature, pending, rendered pending or, to Purchaser’s Buyer's Knowledge, threatened, against Purchaser Buyer that reasonably could be expected to adversely affect Purchaser’s Buyer's ability to consummate perform in accordance with the transactions contemplated by terms of this Agreement.

Buyer has committed no violation of any applicable law, statute, regulation or ordinance or any other requirement of any Governmental Entity or court which would have an adverse effect on Buyer or its ability to perform its obligations pursuant to this Agreement.

There is no litigation, proceeding (arbitral or otherwise), claim, action, suit, judgment, decree, settlement, rule, order claim or investigation of any nature, pending, rendered or, or to the actual knowledge of an executive officer of Purchaser’s Knowledgegeneral partner, threatened, against Purchaser that reasonably could be expected to adversely affect Purchaser’s ability to consummate perform in accordance with the transactions contemplated by this Agreementterms of the Purchaser Transaction Documents.
