Common use of Listing of Common Shares Clause in Contracts

Listing of Common Shares. The Common Shares are listed and posted for trading on the TSX and NASDAQ and no Order ceasing or suspending trading in any securities of the Parent or prohibiting the sale or issuance of the Purchased Preferred Shares or the Exchange Common Shares or the trading of any of the Parent's or the Issuer's issued securities has been issued and no (formal or informal) proceedings for such purpose are pending or contemplated by the Parent or, to the knowledge of the Parent or the Issuer, have been threatened.

Listing of Common Shares. (i) The Common Shares are listed and posted for trading on the TSX and NASDAQ TSXV and no Order order ceasing or suspending trading in any securities of the Parent Company or prohibiting the sale or issuance of the Purchased Preferred Shares Unit Shares, Warrants, Convertible Debentures or the Exchange Common Warrant Shares and the Debenture Shares or the trading of any of the Parent's or the Issuer's Company’s issued securities has been issued and no (formal or informal) proceedings for such purpose are pending or contemplated by the Parent have been threatened or, to the knowledge of the Parent or the IssuerCompany, have been threatenedare pending.

The Common Shares are listed and posted for trading on the TSX and NASDAQ and no Order ceasing or suspending trading in any securities of the Parent Issuer or prohibiting the sale or issuance of the Purchased Preferred Shares or the Exchange Common Shares or the trading of any of the Parent's or the Issuer's ’s issued securities has been issued and to the knowledge of the Issuer no (formal or informal) proceedings for such purpose are pending or contemplated by the Parent or, to the knowledge of the Parent or the Issuer, have been threatened. The Issuer is in compliance in all material respects with the rules and regulations of the TSX, including the applicable listing requirements of the TSX.

(i) The Common Shares are listed and posted for trading on the TSX and NASDAQ the NYSE Amex and no Order order ceasing or suspending trading in any securities of the Parent Company or prohibiting the sale or issuance of the Purchased Preferred Shares or the Exchange Common Subscription Shares or the trading of any of the Parent's or the IssuerCompany's issued securities has been issued and no (formal or informal) proceedings for such purpose are pending or contemplated by the Parent or, to the knowledge of the Parent or the IssuerCompany, have been threatened.

The Common Shares are listed and posted for trading on the TSX and NASDAQ and NYSE and, to the knowledge of the Issuer, no Order ceasing or suspending trading in of any securities of the Parent Issuer’s issued securities or prohibiting that would prohibit the sale or issuance of the Purchased Preferred Shares or the Exchange Common Shares or the trading of any of the Parent's or the Issuer's issued securities Exchangeable Securities has been issued and no (formal or informal) proceedings for such purpose are pending or contemplated by the Parent or, to the knowledge of the Parent or the Issuer, have been threatened.
