Liquidated Damages and Penalties. In case of late delivery by the Supplier after the agreed delivery date on this contract, Liquidated damages and penalty of delay shall be calculated as follows: Should the Supplier fail to deliver Goods within the deadlines specified in this contract, a liquidated damage of (7.5%) of the value of undelivered items for the first month shall apply as follows: (1%) of the value of items subject to fine for the first week or parts thereof. (1.5%) of the value of items subject to fine for the second week or parts thereof. (2%) of the value of items subject to fine for the third week or parts thereof. (3%) of the value of items subject to fine for the fourth week or parts thereof In case of further delay, a delay fine of (4%) shall apply for every month or parts thereof; for every period separately, provided that total fines do not exceed (10%) of the total value of the contract and the delay period does not exceed three months. Liquidated Damages and Penalties. Prior to assessing any penalties under its cable ordinance, or any liquidated damages under this Agreement, the Franchise Authority shall mail to the Franchisee a written notice by certified or registered mail of the alleged violation and the proposed penalty, specifying the violation at issue. The Franchisee shall have forty-five (45) days from the date of receipt of the written notice to cure or take reasonable steps to commence to cure, as is appropriate depending on the nature of the alleged violation, or to file a written response refuting the alleged violation or explaining why additional time for cure is necessary. In the case of breaches of requirements measured on a monthly, quarterly or longer period (such as customer service standards), Franchisee’s cure period shall be no less than one (1) such period.
Liquidated Damages and Penalties. Performance Security The TA shall submit by way of performance security (the “Performance Security”), 10% (ten per cent) of the Agreement Value, to be appropriated against breach of any provision of this Agreement or for recovery of liquidated damages as specified in Clause 7.2 herein. The balance if any remaining out of the Performance Security shall be returned to the TA at the end of 3 (three) months after the expiration of this Agreement pursuant to Clause 2.4 hereof. The TA shall furnish the Performance Security in the form of an unconditional & irrevocable Bank Guarantee in favor of Authority before signing of this Agreement, substantially in the format specified at Annex-6 of this Agreement. Liquidated Damages Liquidated Damages for error/variation In case any error or variation is detected in the reports submitted by the TA and such error or variation is the result of negligence or lack of due diligence on the part of the TA, the consequential damages thereof shall be quantified by the Authority in a reasonable manner and recovered from the TA by way of deemed liquidated damages, subject to a maximum of the Agreement Value. Liquidated Damages for delay In case of delay in completion of Services, liquidated damages not exceeding an amount equal to 0.25% (zero point two five per cent) of the Agreement Value per day, subject to a maximum of 10% (ten per cent) of the Agreement Value will be imposed and shall be recovered by appropriation from the Performance Security or otherwise. However, in case of delay due to reasons beyond the control of the TA, suitable extension of time may be granted. Encashment and appropriation of Performance Security The Authority shall have the right to invoke and appropriate the proceeds of the Performance Security, in whole or in part, without notice to the TA in the event of breach of this Agreement or for recovery of liquidated damages specified in this Clause 7.2. Upon such encashment and appropriation from the Performance Bank Guarantee, the TA shall, within 5 (five) Business Days replenish, in case of partial appropriation, to its original level the Performance Guarantee and in case of appropriation of entire Performance Guarantee to provide a fresh Performance Guarantee and the TA shall, within the time so granted replenish or furnish to the Authority a fresh Performance Guarantee as aforesaid, failing which the Authority shall be entitled to terminate this Agreement.   • Withholding for unpaid wages and liquidated damages The FHWA or the contacting agency shall upon its own action or upon written request of an authorized representative of the Department of Labor withhold or cause to be withheld, from any moneys payable on account of work performed by the contractor or subcontractor under any such contract or any other Federal contract with the same prime contractor, or any other federally-assisted contract subject to the Contract Work Hours and Safety Standards Act, which is held by the same prime contractor, such sums as may be determined to be necessary to satisfy any liabilities of such contractor or subcontractor for unpaid wages and liquidated damages as provided in the clause set forth in paragraph (2.) of this section.
