Limited Warranty Deed. A limited warranty deed conveying title to the Property to EDA, free and clear of all encumbrances, except the Permitted Encumbrances (as defined in Section 8.1) (the “Deed”).

The legal description of the Real Property owned by Seller set forth in the Limited Warranty Deed shall be based upon and conform to the applicable legal description attached hereto as EXHIBIT “A”. If and to the extent that any of the Permitted Exceptions requires the recitation or incorporation in any deed of any provisions of such Permitted Exception, the Limited Warranty Deed may conform to such requirements;

Limited Warranty Deed. A Limited Warranty Deed from Seller with respect to the Land and Improvements (the “Limited Warranty Deed”), subject only to the Permitted Exceptions, and executed and acknowledged by Seller. The legal descriptions of the Land set forth in the Limited Warranty Deed shall be based upon and conform to the applicable legal descriptions attached hereto as EXHIBIT “A-1”. The Limited Warranty Deed will include the covenant of Seller, as owner of the property known as 0000 Xxxxx Xxxxx Xxxxxxx, Xxxxxxx, Xxxxxxx, in the form attached hereto as Exhibit “U” and made a part hereof; provided, however, that if the building known as 0000 Xxxxx Xxxxx Xxxxxxx, Xxxxxxx, Xxxxxxx, has been conveyed by Seller prior to the Closing, then in lieu of including such covenant in the Limited Warranty Deed, Seller shall include in the deed conveying such property a covenant in the form attached hereto as Exhibit “U”.
