Common use of Limited Liability Company Agreement Clause in Contracts

Limited Liability Company Agreement. The Member agrees that this Agreement (a) constitutes the “limited liability company agreement” of the Company within the meaning of Section 18-101(7) of the Act, (b) will be effective as of the Effective Date, (c) as of the Effective Date will amend and replace, in its entirety, the Prior Agreement, and (d) will govern the rights, duties and obligations of the Member, except as otherwise expressly required by the Act.

Limited Liability Company Agreement. The Member agrees that this Agreement (a) constitutes the “limited liability company agreement” of the Company within the meaning of Section 18-101(7) of the Act, (b) will be effective as of the Effective Date, (c) as of the Effective Date will amend and replace, in its entirety, the Prior AgreementAgreement and any other limited liability company agreement or form of bylaws outstanding for the Company, and (d) will govern the rights, duties and obligations of the Member, except as otherwise expressly required by the Act.

The Member agrees Members agree that this Agreement (a) constitutes the “limited liability company agreement” of the Company within the meaning of Section 18-101(7) of the Act, (b) will that, notwithstanding the date of execution, it shall be effective as of the date of the filing of the Certificate of Formation in the office of the Secretary of State (the “Effective Date, (c”) as of the Effective Date will amend and replace, in its entirety, the Prior Agreement, and (d) will that it shall govern the rights, duties and obligations of the MemberMembers, except as otherwise expressly required by the Act.
