Common use of Limited Guarantee Clause in Contracts

Limited Guarantee. Concurrently with the execution of this Agreement, Parent has caused the Guarantor to deliver to the Company a duly executed Limited Guarantee. The Limited Guarantee is in full force and effect and constitutes a legal, valid, binding and specifically enforceable obligation of the Guarantor, enforceable against the Guarantor in accordance with the terms thereof subject to the Enforceability Exception, and no event has occurred, which, with or without notice, lapse of time or both, would constitute a default on the part of the Guarantor under the Limited Guarantee.

Limited Guarantee. Concurrently with the execution of this Agreement, Parent has caused the Guarantor to deliver to the Company a duly executed Limited Guarantee. The Limited Guarantee is in full force and effect and constitutes a legal, valid, binding and specifically enforceable obligation of the Guarantor, enforceable against the Guarantor in accordance with the terms thereof subject to the Enforceability Exception, and no event has occurred, which, with or without notice, lapse of time or both, would constitute a default on the part of the Guarantor under the Limited Guarantee.

Limited Guarantee. Concurrently with the execution of this Agreement, Parent has caused the Guarantor to deliver delivered to the Company a duly executed Limited GuaranteeGuarantee with respect to certain matters on the terms specified therein. The Limited Guarantee is in full force and effect and constitutes a legal, valid, binding and specifically enforceable obligation of the Limited Guarantor, enforceable against the Guarantor in accordance with the terms thereof subject to the Enforceability Exception, and no event has occurred, which, with or without notice, lapse of time or both, would constitute a default on the part of the Limited Guarantor under the Limited Guarantee.

Concurrently with the execution and delivery of this Agreement, Parent has caused the Guarantor to deliver delivered to the Company a the Limited Guarantee duly executed Limited Guaranteeby the Guarantor in favor of the Company. The Limited Guarantee has been duly executed and delivered by the Guarantor and is in full force a valid and effect and constitutes a legal, valid, binding and specifically enforceable obligation agreement of the GuarantorLimited Guarantee, enforceable against the Guarantor in accordance with the terms thereof its terms, subject to the Enforceability Bankruptcy and Equity Exception, and no event has occurred, which, with or without notice, lapse of time or both, would constitute result in a default on the part of by the Guarantor under the Limited Guarantee.

The Limited Guarantee is valid and in full force and effect and constitutes a legal, valid, the valid and binding and specifically enforceable obligation of the Guarantor, enforceable against the Guarantor in accordance with the terms thereof subject to the Enforceability Exception, and no event has occurred, which, with or without notice, lapse of time or both, would constitute a default on the part of the Guarantor under the Limited Guaranteeits terms.

The Limited Guarantee is in full force and effect and constitutes a legal, valid, binding and specifically enforceable obligation of the Guarantor, enforceable against the Guarantor in accordance with the terms thereof subject to the Enforceability ExceptionGuarantors, and no event has occurred, which, with or without notice, lapse of time or both, would constitute a default on the part of the Guarantor Guarantors under the Limited Guarantee.
