LIMITATION ON VOTING RIGHTS. Notwithstanding anything to the contrary contained in this Section 1 of this Subdivision 2, for so long as any Person or group of Persons acting in concert beneficially own (as defined below) 15% or more of the outstanding shares of any class of Class B Common Stock, then in any election of directors elected by that class or other exercise of voting rights with respect to Core Rights or with respect to the election or removal of directors elected by that class, such Person or group shall only be entitled to vote (or otherwise exercise voting rights with respect to) a number of shares of that class of Class B Common Stock that constitutes a percentage of the total number of shares of that class of Class B Common Stock then outstanding which is less than or equal to such Person or group’s Entitled Voting Percentage (as defined below). For the purposes hereof, a Person or group’s “Entitled Voting Percentage” at any time shall mean the percentage of the then outstanding shares of Class A Common Stock in the aggregate, beneficially owned by such Person or group at such time. For purposes of this Paragraph (c), a “beneficial owner” of Common Stock includes any Person or group of Persons who, directly or indirectly, including through any contract, arrangement, understanding, relationship or otherwise, written or oral, formal or informal, control the voting power (which includes the power to vote or to direct the voting) of such Common Stock.

LIMITATION ON VOTING RIGHTS. The right of the Limited Partners to vote on any matter hereunder, including their right to remove the General Partner, to dissolve the Partnership, and to elect or consent to a successor or additional General Partner, shall not be exercised in any manner unless and until the Partnership has received an opinion of counsel, which counsel is satisfactory to a majority in interest of the Limited Partners, that such action may be effected without adversely affecting the status of Limited Partners as limited partners of the Partnership or adversely affecting the status of the Partnership as a partnership for Federal income tax purposes.

LIMITATION ON VOTING RIGHTS. Except to the extent expressly set forth in Sections 6.2 and 9.2 of this Series A Preferred Annex, the Series A Preferred Interests shall not entitle the Series A Holder thereof to vote on any matter whatsoever, whether relating to the Company, or its business and affairs, or otherwise, including any matters upon which Members holding Common Interests are permitted or have the right to vote under the LLC Agreement or the Act. For the avoidance of doubt and without limitation of the foregoing sentence, no Series A Holder shall have the right to vote any of its Series A Preferred Interests in connection with (i) any CAPL Change of Control, Liquidation or Deemed Liquidation Event, (ii) any other merger, consolidation, division or similar transaction involving the Company that does not constitute a Deemed Liquidation Event, (iii) any Transfer of Common Interests to any Person that is an affiliate of CAPL or a member or affiliate of the Xxxxx Xxxxxxx Group, (iv) any sale, lease, license or other disposition of any assets of the Company or its subsidiaries and (v) any amendment to the LLC Agreement or the Certificate of Formation.
LIMITATION ON VOTING RIGHTS. A Special Limited Partner does not have the right to vote on any matter except as expressly set forth in this Agreement or required by law. To the extent a Special Limited. Partner has any voting rights, the Special Limited Partner shall vote together with the Limited Partner and as if it were a Limited Partner.

Notwithstanding the provisions of this Article XIII, until the Company has received notification that Shares have been transferred into a Trust, the Company shall be entitled to rely on its share transfer and other Member records for purposes of preparing lists of Members entitled to vote at meetings, determining the validity and authority of proxies and otherwise conducting votes of Members.
