Common use of Lien Searches Clause in Contracts

Lien Searches. The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan Party, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 or discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent Lien lien search with respect to in each jurisdiction where the Loan PartyParties are organized and where the assets of the Loan Parties are located, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 6.02 or discharged on or prior to the Closing Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien search with respect to lien searches in each of the jurisdictions where any of the Loan PartyParties is formed or organized, and such search searches shall reveal no Liens liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 7.3, or Liens to be discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative AgentDate.

The Administrative Agent shall have received the results of a recent Lien lien search with respect to in each Loan Partyjurisdiction reasonably requested by the Administrative Agent, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 6.02 or discharged on or prior to the Closing Restatement Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of Lien searches as of a recent Lien date, conducted by a search with respect to each Loan Party, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 or discharged on or prior to the Closing Date pursuant to documentation service reasonably satisfactory to the Administrative Agent, and the Administrative Agent shall be satisfied that no Liens are outstanding on the property or assets of any Loan Party, other than any such Liens (i) which are permitted pursuant to the terms of the Loan Documents or (ii) as to which the Administrative Agent have received documentation reasonably satisfactory to it evidencing the termination or concurrent termination of such Liens.

The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan Partylien, judgment and litigation searches reasonably required by the Administrative Agent, and such search searches shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 7.3, or Liens to be discharged on or prior to the Closing Date pursuant to the payoff letter and other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien lien search with respect to each of the Loan PartyParties in locations designated by the Administrative Agent, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens expressly permitted by Section 7.3 hereunder or discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan Party, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 8.3 or discharged on or prior to the Closing Effective Date pursuant to documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien search with respect to searches in each jurisdiction where the Loan PartyParties are organized or formed, and in the United States Patent, Trademark and Copyright Offices, and such search searches shall reveal no Liens on any of the assets of the Loan Parties Parties, except for Liens expressly permitted by Section 7.3 or Liens being discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent Lien lien search with respect to in each of the jurisdictions where the Loan PartyParties are organized, and such search shall reveal no Liens on any of the assets of the Loan Parties except for (i) Permitted Liens permitted by Section 7.3 or (ii) Liens discharged (or for which effective provision for discharge has been made) on or prior to the Closing Date pursuant to documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan PartyParty in each of the jurisdictions and offices where Liens on material assets of the Loan Parties are required to be filed or recorded, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 6.3 or discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan Party, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 or discharged on or prior to the Initial Closing Date pursuant to documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent Lien lien search with respect to in each jurisdiction where any asset of any Loan PartyParty is located, and such search shall reveal no Liens on any of the assets of the Collateral, including Liens granted to any other Loan Parties Party, except for Liens permitted by Section 7.3 6.3 or Liens to be discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative AgentDate.

Lien Searches. The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan Party, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section subsection 7.3 or discharged on or prior to the Closing Date pursuant to documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent UCC, tax and judgment Lien search searches with respect to each of the Loan PartyParties to the extent reasonably required by the Administrative Agent, and such search results shall not reveal no Liens any material judgment or any Lien on any of the assets of the Loan Parties except for Liens permitted by under Section 7.3 6.02 or Liens to be discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative AgentEffective Date.

The Administrative Agent shall have received the results of a recent Lien search with respect to lien searches in each of the jurisdictions where any of the Loan PartyParties is formed or organized, and such search searches shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 or Liens to be discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative AgentDate.

The Administrative Agent shall have received the results of a recent Lien search with respect to lien searches of the Loan Parties from each Loan Partyjurisdiction reasonably requested by the Administrative Agent, and such search searches shall reveal no Liens liens on any of the assets of the Loan Parties Group Members except for Liens permitted by Section 7.3 7.3, or Liens to be discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative AgentDate.

Lien Searches. The Administrative Agent shall have received the results of a recent Lien lien search with respect (to the extent such lien search is available in the relevant jurisdiction) in each of the jurisdictions of organization of the Loan PartyParties, and such search searches shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 or discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent UCC, tax and judgment Lien search searches with respect to each of the Loan PartyParties to the extent reasonably required by the Administrative Agent, and such search results shall not reveal no Liens any material judgment or any Lien on any of the assets of the Loan Parties except for Liens permitted by under Section 7.3 6.02 or Liens to be discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative AgentDate.

Lien Searches. The Administrative Agent shall have received the results of a recent Lien search with respect in each of the domestic jurisdictions where (x) the Loan Parties are organized and (y) real estate of the Loan Parties is located (which Lien searches may be copies of such search delivered as a condition to each Loan Partythe closing under the Exit Facility), and such search shall reveal no Liens liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 6.3 or discharged on or prior to the Closing Date pursuant to documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent Lien lien search with respect to in each of the jurisdictions of organization of the Loan PartyParties, and such search shall reveal no Liens on any of the assets of the Loan Parties Debtors except for Liens permitted by Section 7.3 or Liens to be discharged on or prior to the Closing Date pursuant to documentation in a manner reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan Party, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens (i) permitted by Section 7.3 or and (ii) subject to Section 6.10, discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan Party, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens (A) permitted by Section 7.3 or (B) discharged on or prior to the Closing Amendment No. 1 Effective Date pursuant to documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan Party, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 subsection 8.3 or discharged on or prior to the Closing Effective Date pursuant to documentation reasonably satisfactory to the Administrative AgentAgent and the Required Lenders.

The Administrative Agent shall have received the results of a recent Lien search with respect to lien searches in each of the jurisdictions where any of the Loan PartyParties is formed or organized, and such search searches shall reveal no Liens liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 7.3, or discharged on or prior Liens securing obligations of the Group Members under the Existing Credit Facility, which Liens shall remain in force and effect and shall secure all Obligations of the Loan Parties to the Closing Date pursuant to documentation satisfactory to Secured Parties arising under the Administrative AgentLoan Documents.

The Administrative Agent shall have received the results of a recent Lien lien search with respect to in each jurisdiction where the Loan PartyParties (other than ABG) have their chief executive office or are organized, and such search shall reveal no Liens on any of the assets of the Loan Parties (other than ABG) except for Liens permitted by Section 7.3 or 7.3, Liens discharged 72 on or prior to the Closing Restatement Effective Date or Liens for which termination arrangements have been made pursuant to documentation and on terms satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien search with respect to lien searches of the Loan Parties from each Loan Partyjurisdiction reasonably requested by the Administrative Agent, and such search searches shall reveal no Liens liens on any of the assets of the Loan Parties Group Members except for Liens permitted by Section 7.3 or discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent7.3.

The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan PartyParty and the Acquired Business, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 or discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent.. 98

The Administrative Agent shall have received the results of a recent Lien search lien searches in each relevant jurisdiction with respect to each the Loan PartyParties, and such search searches shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 7.02 of the Credit Agreement or Liens to be discharged on or prior to the Closing Date pursuant to documentation or arrangements reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan PartyParty in each relevant jurisdiction listed on Schedule 4.19(a), and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens permitted by Section 7.3 7.4 or discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent Lien lien search with respect to each of the Loan PartyParties in locations designated by the Administrative Agent, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Liens expressly permitted by Section 7.3 hereunder or discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent.. The Administrative Agent shall have received the results of a recent Lien search with respect to each Loan Party, and such search shall reveal no Liens on any of the assets of the Loan Parties except for Permitted Liens permitted by Section 7.3 or Liens discharged on or prior to the Closing Effective Date pursuant to documentation reasonably satisfactory to the Administrative Agent..
