Licensor Services. As may be mutually agreed from time to time by Licensor and the Company and as described in and pursuant to that certain Agreement for Service as Founder (the “Founder’s Agreement”), dated of even date herewith between the parties hereto, Licensor agrees to participate in commercials and other high profile public relations events, including but not limited to making himself reasonably available and otherwise reasonably cooperating with the Company for purposes of producing appropriate photographs, film, recordings, video footage and any other such depictions of Licensor for use by the Company, and Licensor’s services in this regard shall be deemed services provided by Licensor as an advisor to the Company.

Licensor Services. During the Term, Licensor, at its sole cost and expense (except as otherwise. expressly provided), shall provide the following to Licensee (Licensor Services): (a) Heating, ventilation and air-conditioning which will cause the Arena to be maintained at temperatures and a level of air quality customary for comparable facilities, except if emergency conditions exist which make it impossible to provide such heating, ventilation and air-conditioning; (b) Utilities, including electricity) gas, hot and cold water, lighting, telephone and intercommunications equipment, elevators and escalators, customary for comparable facilities (it being understood that Licensee shall be responsible for the costs of obtaining telephone and intercommunications services for its own use at the Arena); (c) Lighting equipment and apparatus adequate for color telecasts, without additional or supplemental lighting equipment or apparatus, in accordance with applicable League Standards as the same may be waived or modified by agreement of Licensor and Licensee; (d) Maintenance and repair of the Arena and all of its components in compliance with all applicable governmental laws, ordinances and regulations and in clean and good condition, subject to ordinary wear and tear and damage by fire or other casualty; (e) Protection and security of the Arena and all its facilities consistent with Licensor's current practices; (f) Grounds maintenance, including, but not limited to keeping sidewalks, parking areas and other areas immediately surrounding the Arena in compliance with all applicable governmental laws, ordinances and regulations and reasonably free of debris, dirt, litter and trash; (g) Operation of box office facilities (as more fully set forth in Section 6 during all business hours and on each Hockey Event Day and League Game Date during published box office hours of Monday through Friday 10 a.m. to 5 p.m.; Saturday on Event Days Only at 1p.m..; and Sunday on Event Days Only at 1:00 p.m. (or three hours prior to game event). Box Office will be open through the second period of each League Game Date or the end of intermission of each Hockey Event Date; Exceptions are made for early events or other factors. (h) Set-up of ice surface and staging areas for League Games, practices, Hockey Events and rehearsals, in accordance with League Standards and the standards of the Team; and (i) Day-of-event services for each League Game ("League Game Day Services) and each Hockey Event and rehearsal...

Licensor Services. With respect to the Program, Licensor will provide the Licensor Services for the Program as described in Schedule 1.

Licensor Services. Licensor agrees to be the sole manufacturer and fulfillment provider for the Licensee and agrees to provide the following services on behalf of the Licensee using commercially reasonably practices: · Provide technical support to Licensee and customers pre and post sale; · Use best efforts to achieve EPA Safer Choice label; · Process orders from customers; · Manufacture the products; · Package the products; · Ship the products; · Collect funds from the customers; · Provide product liability insurance; and · Distribute net proceeds due to Licensee for funds collected from customers within thirty (30) days of receipt of customer payment. Contract Consideration: In exchange for entering into this Contract, ▇▇▇▇▇▇▇▇ agrees to grant the following consideration to the Licensor: · issue to Licensor five hundred thousand (500,000) shares of the Licensee’s common stock by April 30, 2016; · pay to Licensor as follows: o seventy-five thousand dollars ($75,000) per month in eight (8) installments, the first beginning on April 30, 2016, and ending on November 30, 2016, for a total of six hundred thousand dollars ($600,000); or o seventy-five thousand dollars ($75,000) per month in four (4) installments, the first beginning on April 30, 2016 and ending on July 31, 2016, and a fifth payment of two-hundred thousand dollars ($200,000) on August 31, 2016, for a total of five hundred thousand dollars ($500,000). Sublicense Rights: Sublicense agreements in Licensee’s Covered Markets shall be submitted to the Licensor for approval. Such approval shall not be unreasonably withheld as long as the economic terms of the sublicense agreement to the benefit of the Licensor are economically consistent with this Contract.

Licensor Services. If Licensor is in material breach of its obligations to provide the Licensor Services and such breach continues for thirty (30) days after written notice served by Licensee specifying in reasonable detail the basis thereof Licensee's obligation to make payments under Section 5.2 above shall be suspended during the period beginning thirty (30) days after the delivery of such notice to Licensor and ending when such breach has been cured by Licensor in all respects. In the event that Licensor effects a cure of any material breach Licensee shall immediately make the payments previously suspended, subject to a right of set-off for any amounts paid during such time as Licensor failed to provide the Licensor Services. In the event that Licensor is unable to cure any material breach within ninety (90) days of the notice described in the foregoing sentence, Licensee may serve notice in writing on Licensor terminating the provision of the Licensor Services and Licensee's obligation to make payments for the Licensor Services.

Except for the scope of Licensor’s DTRA Teaming Agreement with SAIC defined in Attachment H, which shall be narrowly construed, the DTRA Teaming Agreement shall not, in any way, be interpreted to limit or interfere with Licensee’s exclusive rights under this Agreement within the Territory, including without limitation all Contracts and Task Orders relating to the Biowatch Solicitation and Program.
