Licensed Trademark. Without limiting the generality of Sections 4.5, 4.9 and 10.3, (a) Sandoz shall not directly or indirectly (i) alter, modify, dilute or otherwise misuse the Licensed Trademark, (ii) bring the Licensed Trademark into disrepute, (iii) Commercialize any damaged Products or seconds bearing the Licensed Trademark or (iv) counsel, procure or assist anyone else to do any of the foregoing, (b) Sandoz shall (i) affix the trademark notice (TM) or (®) next to the Licensed Trademark on the Products as instructed by KLOX from time to time, and (ii) ensure that any and all direct or indirect use of the Licensed Trademark by Sandoz is restricted to the Commercialization of the Products in accordance with the terms and conditions of this Agreement, and (c) Sandoz acknowledges that any material and deliberate use or attempted use of the Licensed Trademark in violation of any of the foregoing without the prior written consent of KLOX will be invalid and constitute a material breach of this Agreement.
Licensed Trademark. Effective as of the Closing, Seller hereby grants to the Company a worldwide, non-exclusive, non-transferable, royalty-free license to use and reproduce the Seller trademark “GETJAR” (the “Licensed Trademark”) solely during the Trademark License Term (as defined below); provided, that, the Company’s license to the Licensed Trademark shall be limited to activities that are consistent with the Company’s usage of the Licensed Trademark (in terms of scope, nature and quality) as it has made prior to the Closing.
Licensed Trademark. The Company hereby grants to Sandoz a fully-paid, non-transferable and non-sublicenseable (except to an Affiliate of Sandoz) license to use the Licensed Trademarks only to market, sell, offer for sale and otherwise Commercialize the Product in the Territory under this Agreement, which shall be exclusive (even as to the Company), except the license with respect to the Licensed Trademark Symject shall be non-exclusive. For clarity, the Company may use (or license to a Third Party or Affiliate) the Licensed Trademark Symject: (i) in connection with any product other than the Product in and outside the Territory; and (ii) in connection with the marketing, sale, offer for sale, and other Commercialization of the Product outside the Territory. All uses by Sandoz and its Affiliates of the Licensed Trademarks shall be in compliance with all Applicable Laws and shall be in accordance with the Licensed Trademark Usage Guidelines attached hereto in Schedule H. At the reasonable request of the Company from time to time, Sandoz will provide copies of packaging, labeling, advertising, promotional and other material of Sandoz or its Affiliates referencing the Licensed Trademark to allow the Company to confirm compliance with the foregoing.

Licensed Trademark. The Licensed Trademarks and the goodwill associated therewith are and shall be the exclusive property of SCEA or Affiliates of SCEA. Nothing herein shall give Publisher any right, title or interest in or to any of the Licensed Trademarks or any other trademarks of SCEA, other than the non-exclusive licensed provided herein. Publisher shall not do or cause to be done any act or thing in any way impairing or tending to impair or dilute any of SCEA's rights, title or interest in or to any of the Licensed Trademarks or any other trademarks of SCEA, nor shall Publisher register any trademark in its own name or in the name of any other person or entity, or obtain right to employ Internet domain name or addresses, which are similar to or are likely to be confused with any of the Licensed Trademarks or any other trademarks of SCEA.
Licensed Trademark. (a) The only trademark that has been used by the parties pursuant to the provisions of Section III(A)(2) of the Marketing Rights Agreement is GPI Holdings' GLIADEL trademark;

In the event, despite its reasonable commercial efforts, SCRAS is unable to obtain or maintain registrations for the Licensed Trademark in some country (ies) in the Territory, SCRAS and Licensee shall negotiate in good faith concerning the use of such other trademarks as may be available for marketing the Licensed Product in those countries.
