License Usage. Subject to the terms and conditions of this Agreement and applicable ordering document, Company hereby grants to Licensee a non-exclusive, non-transferable, non-sublicenseable right and license during the Term to install and operate the Company Software on one (1) Authorized System per each individual license acquired under the GSA Schedule, solely in accordance with applicable Documentation provided by Company, solely for use by Authorized Users, and solely for Licensee’s internal business purposes.
License Usage. The foregoing license is limited to installation (where applicable) and use of the Product on a computer, workstation, server, or other electronic equipment that satisfies compatibility to specifications stated in the Documentation or otherwise clearly specified by DAJ (hereinafter, such equipment is referred to as “Equipment”). Licenses to Client-side Components are limited to one license per Authorized Domain User (mailing lists are ineligible for a license). If the number of Authorized Domain Users that operate the Product exceeds the number of licenses that have been duly granted by DAJ to Licensee according to the Purchase Order, (excluding Evaluation Licensees or Limited Product Licensees that are not Authorized Domain Users), Licensee will Purchase additional licenses subject to the terms herein. Licensee will supply, host and manage its own Equipment to operate the Server-side Components of the Product, unless Licensee has Purchased or is evaluating the Product as a part of an ASP Service. If the number of Licensee server Equipment exceeds the number of licenses that have been duly granted by DAJ to Licensee to operate the Server-side Components, Licensee will purchase additional licenses in accordance with the relevant herein or as stated in the Purchase Order. If the Product is updated or upgraded from a previous version, Licensee has the option to use either the current version of the Product or the prior version, but not both versions at the same time. In any event, no license or right is hereunder granted to any person who unitizes a certain account (as designated by DAJ) which is not a registered account as referred to in Section 1.1.
License Usage. It is hereby agreed by the parties that this non-exclusive, limited use license is for the use of the Marks in licensee’s RCO business and for the promotion of the Liberty Dollar by the licensee’s RCO business. You agree to provide us with accurate, complete, unique and updated contact information for each educator using downloaded resources or accessing the website(s). Failure to do so will constitute a breach of this Agreement, which may result in immediate termination of your rights to use the resources or access the account. You may not (a) select or use a Username of another person with the intent to impersonate that person, (b) use a name subject to the rights of any other person without written authorization from that individual, or (c) use a Username that we, in our sole discretion, deem inappropriate or offensive. You are responsible for maintaining the confidentiality of your username and password, and you will be responsible for all uses of your username and password, whether or not authorized by you. In order to access the Service, or use its downloaded resources, you need to obtain a username and password (“Username”). Usernames are either selected by, or issued to, individual subscribers or educators within a learning institution (collectively, "Users") as part of the registration process. You agree to provide us with accurate, complete, unique and updated contact information for each educator using downloaded resources or accessing the Services. License Usage. Upon Siemens’s written request, Licensee shall furnish Siemens with a certification signed by an officer of Licensee verifying that the Software is being used pursuant to the terms of this Agreement. In the event that an audit by Siemens pursuant to Article 15 of the Agreement reveals that Licensee's usage exceeds the usage authorized under the Agreement in a material manner, Licensee hereby agrees to purchase an upgraded Software License Type at the then current rate within thirty (30) days of notification to Licensee by Siemens to cover the excess usage or unauthorized usage from the date of Confirmation of Order. ATTACHMENT 1: INCIDENT SEVERITY LEVELS AND RESOLUTION PLAN THIS ATTACHMENT MAY BE REVISED BY SIEMENS AT ANY TIME. CONTINUED USE OF THE SOFTWARE CONSTITUTES ACCEPTANCE OF THE REVISED ATTACHMENT. The following section defines the Incident Severity Levels (“Service Levels”) and associated Response Times. No workaround exists. One (1) business day of receipt of a customer Incident report during Normal Business Hours. Resolution Plan presented to customer within two (2) additional business days. If the cause of the Problem is an Error in the Software, Siemens will issue an Error Correction in the form of a temporary fix. Severity 2 Major Problem, Major Error with no workaround A major Problem severely affects the results of significant engineering calculation functionality that functioned previously in the production environment of the supported release of the Software, and prevents continued usage of such major engineering calculation functionality, and for which no work around exists. The Problem is of a time-sensitive nature and causes an immediate work stoppage for a Site installation of Software. One (1) business day of receipt of a customer Incident report during Normal Business Hours. Resolution Plan presented to customer within Ten (10) additional business days.
