Common use of License Maintenance Fee Clause in Contracts

License Maintenance Fee. On or before the tenth Business Day after the end of each License Year (excluding the first License Year ending December 31, 2016), Licensee shall pay to COH a non-refundable license maintenance fee of $[***]. The license maintenance fee paid in a given License Year shall be applied as credit against royalties otherwise due to COH pursuant to Section 4.5, below, during the License Year in which payment was made but may not be carried over and applied as credit against royalties due in subsequent years.

License Maintenance Fee. On or before the tenth Business Day after the end beginning of each License Year (excluding the first License Year ending December 31, 20162020), Licensee shall pay to COH a non-refundable license maintenance fee of $[***]. The license maintenance fee paid in a given License Year shall be applied as credit against royalties otherwise due to COH pursuant to Section 4.54.7, below, during the License Year in which payment was made but may not be carried over and applied as credit against royalties due in subsequent years.
