Licence Metrics. All fees are based on the Licence Metrics purchased. Additional Licence Metrics and associated Support must be purchased and shall be invoiced to You in the event actual use exceeds the licensed quantity, at Our then-current fees. For the avoidance of doubt, We will xxxx You based on and You will be deemed to have purchased the higher of (i) the Licence Metrics set forth in the Order Form or (ii) actual usage (“Purchased Quantity”), regardless of submission or not of an Order Form. You may not decrease the Purchased Quantity during the Initial Term or any Renewal Term and there shall be no fee adjustments or refunds for any decreases in usage.

Licence Metrics. Use of the Software is expressly limited to the maximum number of Licence Metrics and the use rights and limitations as set forth in the Order Form. Additional Licence Metrics and associated Support Services must be purchased under an additional Order Form at the pricing and under the licensing model in effect at the time the additional licences and services are added, in the event actual use exceeds the licensed quantities. Support Services related to Additional Items shall be prorated so as to coincide with the remainder of the then-current Product Term.
Licence Metrics. Customer may not use the Products in excess of the Licence Metrics specified in the Quote. Additional Licence Metrics and associated Maintenance must be purchased at the pricing in effect at the time the additional Licence Metrics are added in the event actual usage exceeds the licenced quantity, prorated for the remainder of the then- current Term. The additional Licence Metrics purchased shall terminate on the same date as the pre-existing Products. Prices are based on Licence Metrics purchased and not actual usage. The number of Licence Metrics provided in the initial Quote is a minimum amount that Customer has committed to for the Term and there shall be no fee adjustments or refunds for any decreases in usage.
Licence Metrics. If Customer’s Product or Cloud Service is licensed by messages per second (MPS) as specified in the Order, the MPS use limitation of the licence refers to a rolling 24-hour average of messages per second received by the Product or Cloud Service whereby “message” means each individual log or system event received by the Software including without limitation flat file, SNMP, SMTP, netflow (j flow and S flow), syslog or other event or system record. For Enterprise Software licenses, (i) Customer may exceed the MPS limitation by up to 10% without additional charge, and (ii) Customer will not be charged for a one-time anomalous event that causes a spike in MPS usage above the specified MPS limitation If Customer’s Software is licensed by network bandwidth (specified in the Order as a bandwidth or bandwidth per second such as 1GB or 1GB/second), the network bandwidth use limitation refers to a rolling 15-minute average of network bandwidth usage per second. For a licence or right of use based on “Identities”, an Identity is a unique person or service account. A person-based Identity may have multiple identifiers such as user accounts, email addresses, and phone numbers. A service account is a user account that is created explicitly to provide an authentication context for a computer or set of computers and/or services running on that computer. An Identity licence is required for each unique person-based Identity and each unique service account.

  • Targets and Milestones You may choose to develop specific additional targets and milestones which assess your performance in ITT over time – particularly if ITT trainees make up a significant proportion of your overall student body. Alternatively, you may have targets and milestones in your existing 2012-13 access agreement which you now also wish to apply to undergraduate and/or postgraduate ITT trainees. These targets may be statistical – based on how representative your entrants are and/or your retention performance – and might include annual or interim milestones to help you monitor whether you are making progress. You may wish to include criteria around the numbers of trainees in receipt of a full or partial maintenance grant, as financial data will need to be collected to determine bursary support and the data will also be accessible through the Student Loans Company for HEBSS subscribers. You may also wish to consider the TDA guidance at Annex C which gives information on specific groups that are underrepresented in the teaching profession. In this section, please state whether you intend to develop additional targets and milestones, or the extent to which you intend to use targets and milestones in your existing agreement which you now wish to extend to apply to undergraduate and/or postgraduate ITT trainees. Where you have new or amended milestones and targets, you should set these out in your Excel template (Annex B)

  • Registry Performance Specifications Registry Performance Specifications for operation of the TLD will be as set forth in Specification 10 attached hereto (“Specification 10”). Registry Operator shall comply with such Performance Specifications and, for a period of at least one (1) year, shall keep technical and operational records sufficient to evidence compliance with such specifications for each calendar year during the Term.
