To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or and/or officer.

To the extent the Company Corporation maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee Indemnitee, whether or not then serving as a director and/or officer of the Corporation, shall be covered by such the policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director officer, employee, agent or officerfiduciary of the Corporation.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, the Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer. However, the right of the Indemnitee to recover any amounts due to the Indemnitee hereunder shall not be limited to the proceeds of such insurance or any other means to ensure payment.

The Company shall thereafter take all necessary or desirable action to cause such insurers to pay, on behalf of the Indemnitee, all amounts payable as a result of such proceeding in accordance with the terms of such policies.

To the extent the Company maintains an insurance policy or policies providing general and/or directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer, subject to applicable stock exchange or SEC regulations.

Liability Insurance.
