Common use of Lending Relationships Clause in Contracts

Lending Relationships. Except as disclosed in the Registration Statement, the Pre-Pricing Prospectus and the Prospectus, the Company does not and, to the knowledge of the Company, its affiliates do not (i) have any material lending or other relationship with any bank or lending affiliate of any Underwriter or (ii) intend to use any of the proceeds from the sale of the Shares to repay any outstanding debt owed to any affiliate of any Underwriter.
