Common use of Legend on Certificates Clause in Contracts

Legend on Certificates. The certificates representing the shares of Stock issued pursuant to the settlement of any Unit shall be subject to such stop transfer orders and other restrictions as the Administrator may deem reasonably advisable under the Plan (including, but not limited to, in connection with the enforcement of the holding period described in Section 5 of this Agreement) or the rules, regulations, and other requirements of the Securities and Exchange Commission, any stock exchange upon which such shares of Stock are listed, any applicable federal or state laws and the Company’s certificate of incorporation and bylaws, and the Administrator may cause a legend or legends to be put on any such certificates to make appropriate reference to such restrictions.

Legend on Certificates. The To the extent provided by the Management Stockholders’ Agreement, the certificates representing the shares of Common Stock issued pursuant purchased by exercise of the Option shall contain a legend stating that they are subject to the settlement of any Unit shall Management Stockholders’ Agreement and may be subject to such stop transfer orders and other restrictions as the Administrator Committee may deem reasonably advisable under the Plan (including, but not limited to, in connection with the enforcement of the holding period described in Section 5 of this Agreement) or the rules, regulations, and other requirements of the Securities and Exchange Commission, any stock exchange upon which such shares of Stock are listed, and any applicable federal Federal or state laws and the Company’s certificate of incorporation and bylawslaws, and the Administrator Committee may cause a an additional legend or legends to be put on any such certificates to make appropriate reference to such other restrictions.

The certificates representing the shares of Stock issued pursuant to the settlement purchased by exercise of any Unit an Option shall be subject to such stop transfer orders and other restrictions as the Administrator may deem reasonably advisable under the Plan (including, but not limited to, in connection with the enforcement of the holding period described in Section 5 of this Agreement) or the rules, regulations, and other requirements of the Securities and Exchange Commission, any stock exchange upon which such shares of Stock are listed, any applicable federal or state laws and the Company’s certificate of incorporation and bylaws, and the Administrator may cause a legend or legends to be put on any such certificates to make appropriate reference to such restrictions.

Legend on Certificates. The certificates representing the shares of Stock issued pursuant vested Restricted Shares delivered to the settlement of any Unit Director as contemplated by Section 5 shall bear such legends, and be subject to such stop transfer orders and other restrictions orders, as the Administrator Company may deem reasonably advisable under the Plan (including, but not limited to, in connection with the enforcement to give notice of the holding period described in Section 5 of restrictions imposed by this Agreement) or , the Plan, the rules, regulations, and other requirements of the Securities and Exchange Commission, any stock exchange upon which such shares of Stock Shares are listed, or any applicable federal or state laws and the Company’s certificate of incorporation and bylaws, and the Administrator law. The Company may cause a legend or legends to be put on any such certificates to make appropriate reference to such restrictions.

The certificates representing the shares of Stock issued pursuant vested Restricted Shares delivered to the settlement Participant as contemplated by Section 4 above shall bear the legend set forth in Section 2(b) of any Unit the Management Stockholder's Agreement and shall be subject to such stop transfer orders and other restrictions as the Administrator Committee may deem reasonably advisable under the Plan (including, but not limited to, in connection with the enforcement of the holding period described in Section 5 of this Agreement) or the rules, regulations, and other requirements of the Securities and Exchange Commission, any stock exchange upon which such shares of Stock Shares are listed, and any applicable federal Federal or state laws and the Company’s certificate of incorporation and bylawslaws, and the Administrator Committee may cause a legend or legends to be put on any such certificates to make appropriate reference to such restrictions.

Legend on Certificates. The certificates representing the shares of Stock issued in respect of the Performance Shares that are delivered to the Grantee pursuant to the settlement of any Unit this Agreement shall be subject to such stop transfer orders and other restrictions as the Administrator Committee may deem reasonably advisable under the Plan (including, but not limited to, in connection with the enforcement of the holding period described in Section 5 of this Agreement) or determine are required by the rules, regulations, and other requirements of the Securities and Exchange Commission, any stock exchange upon which such shares of Stock are listed, any applicable federal or state laws and or the Company’s certificate Certificate of incorporation Incorporation and bylawsBylaws, and the Administrator Committee may cause a legend or legends to be put on any such certificates to make appropriate reference to such restrictions.

The certificates representing the shares of vested Restricted Stock issued pursuant delivered to the settlement Employee as contemplated by Section 3(b) above shall bear the legend set forth in Section 2 of any Unit the Management Stockholder’s Agreement (which shall also be revised to make reference to this Agreement) and shall be subject to such stop transfer orders and other restrictions as the Administrator Committee may deem reasonably advisable under the Plan (including, but not limited to, in connection with the enforcement of the holding period described in Section 5 of this Agreement) or the rules, regulations, and other requirements of the Securities and Exchange Commission, Commission or any stock exchange upon which such shares of Common Stock are is listed, and any applicable federal Federal or state laws and the Company’s certificate of incorporation and bylawslaws, and the Administrator Committee may cause a legend or legends to be put on any such certificates to make appropriate reference to such restrictions.
