Legal Requirements and Deadlines. Each item of Acquired Company IP that is Registered IP is and at all times has been in compliance with all legal requirements and all filings, payments, and other actions required to be made or taken to maintain such item of Acquired Company IP in full force and effect have been made by the applicable deadline. No application for a patent or a copyright, mask work, or trademark registration or any other type of Registered IP filed by or on behalf of any Acquired Company has been abandoned, allowed to lapse, or rejected. Part 2.9(h)(iii) of the Disclosure Schedule accurately identifies and describes each action, filing, and payment that must be taken or made on or before the date that is 120 days after the date of this Agreement in order to maintain such item of Acquired Company IP that is Registered IP in full force and effect.

Each item of Company IP that is Registered IP is and at all times has been in compliance with all legal requirements and all filings, payments, and other actions required to be made or taken to maintain such item of Company IP in full force and effect have been made by the applicable deadline. No application for a patent or a copyright, mask work, or trademark registration or any other type of Registered IP filed by or on behalf of the Company or any Company Subsidiary at any time since the inception of the Company and any of its predecessors has been abandoned, allowed to lapse, or rejected, except as set forth in Schedule 4.13(h)(iii). Schedule 4.13(h)(iii) accurately identifies and describes each action, filing, and payment that must be taken or made on or before the date that is 120 days after the date of this Agreement in order to maintain such item of Company IP in full force and effect.

Except as set forth on Part 2.9(h)(iii) of the Company Disclosure Schedule, each item of Company IP that is Registered IP that is required to be listed in Part 2.9(b) of the Company Disclosure Schedule is and at all times has been in compliance with all legal requirements and all filings, payments, and other actions required to be made or taken to maintain such item of Company IP in full force and effect have been made by the applicable deadline. Part 2.9(h)(iii) of the Company Disclosure Schedule accurately identifies and describes as of the date of this Agreement each action, filing, and payment that must be taken or made on or before the date that is 120 days after the date of this Agreement in order to maintain such item of Company IP in full force and effect.

Except as set forth in Part 2.9(g)(ii) of the Company Disclosure Schedule, to the Company’s Knowledge, no application for a patent or a copyright, mask work, or trademark registration or any other type of Registered IP filed by or on behalf of the Company has been abandoned, allowed to lapse, or rejected.

Each item of Company IP that is material Registered IP is in compliance with all Legal Requirements and all filings, payments, and other actions required to be made or taken to maintain such item of Company IP in full force and effect have been made by the applicable deadline. No application for a patent or a material copyright, mask work, or trademark registration or any other type of material Registered IP filed by or on behalf of any of the Acquired Corporations at any time since March 31, 2008 has been abandoned, allowed to lapse, or rejected.

Each item of Seller IP that is Registered IP is and at all times has been in compliance with all legal requirements and all filings, payments, and other actions required to be made or taken to maintain such item of Seller IP in full force and effect have been made by the applicable deadline. No application for a patent or a copyright, mask work, or trademark registration or any other type of Registered IP filed by or on behalf of the Seller has been abandoned, allowed to lapse, or rejected. Part 2.4(h)(iii) of the Disclosure Schedule accurately identifies and describes as of the date of this Agreement each action, filing, and payment that must be taken or made on or before the date that is 120 days after the date of this Agreement in order to maintain such item of Seller IP in full force and effect.
Legal Requirements and Deadlines. Each Company Patent Right listed in Subpart 1 and 2 of Part 2.9(a) of the Disclosure Schedule and to the Company’s Knowledge, each Company Patent Right listed in Subpart 3 of Part 2.9(a) of the Disclosure Schedule is and at all times has been prosecuted in compliance with all Legal Requirements applicable to the prosecution of patent applications in the countries where such Company Patent Right is or has been prosecuted. All filings, payments, and other actions required to be made or taken to maintain each item of the Company Patent Rights in full force and effect have been made by the applicable deadline. No application for any Company Patent Rights has been abandoned or allowed to lapse. Part 2.9(m) of the Disclosure Schedule accurately identifies and describes each action, filing, and payment that must be taken or made on or before the date that is 120 days after the date of this Agreement to maintain such item of Patent Rights in full force and effect.
Legal Requirements and Deadlines. Each item of Registered Intellectual Property is and at all times has been in compliance with all legal requirements and all filings, payments, and other actions required to be made or taken to maintain such item of Registered Intellectual Property in full force and effect have been made by the applicable deadline. No application for a patent or a copyright, mask work, or trademark registration or any other type of Registered Intellectual Property filed by or on behalf of Seller has been abandoned, allowed to lapse, or rejected. Schedule 3.16(h) accurately identifies and describes as of the date of this Agreement each action, filing, and payment that must be taken or made on or before the date that is 120 days after the date of this Agreement in order to maintain such item of Business Intellectual Property in full force and effect.
Legal Requirements and Deadlines. No Registered IP of any Company Entity has been abandoned or allowed to lapse such that the abandonment or lapse would constitute a breach of an agreement between a Company Entity and any third party. Part 2.9(h) (iii) of the Company Disclosure Schedule accurately identifies and describes as of the date of this Agreement each action, filing, and payment that must be taken or made on or before the date that is 120 calendar days after the date of this Agreement in order to maintain such item of Company IP in full force and effect.

To Seller’s knowledge, each item of Acquired Corporation IP that is Registered IP is and at all times has been in compliance with all applicable Legal Requirements and all filings, payments, and other actions required to be made or taken to maintain such item of Acquired Corporation IP in full force and effect have been made or taken by the applicable deadline.
