Legal Fees and Other Expenses. 7.1.1 During the Employment Period and for a period of ten (10) years following the Termination Date, if the Executive incurs legal fees or other expenses in an effort to secure, preserve, establish entitlement to, or obtain benefits under this Agreement (including, without limitation, the fees and other expenses of the Executive’s legal counsel in connection with the delivery of the Executive Counsel opinion referred to in Section 6.5), then the Company shall, regardless of the outcome of such effort, promptly reimburse the Executive on a current basis for such fees and expenses following the Executive’s written submission of a request for reimbursement together with evidence that such fees and expenses were incurred. All such expenses shall be reimbursed by December 31 of the year following the year in which the expense was incurred. The amount of expenses reimbursed in one year shall not affect the amount eligible for reimbursement in any subsequent year.
