Common use of Legal Counsel Clause in Contracts

Legal Counsel. Subject to Section 5 hereof, the Buyers holding at least a majority of the Registrable Securities shall have the right to select one legal counsel to review and oversee any registration pursuant to this Section 2 (“Legal Counsel”), which shall be Xxxxxxx Xxxx & Xxxxx LLP or such other counsel as thereafter designated by the holders of at least a majority of the Registrable Securities. The Company and Legal Counsel shall reasonably cooperate with each other in performing the Company’s obligations under this Agreement.

Legal Counsel. Subject to Section 5 hereof, the Buyers holding at least a majority 60% of the Registrable Securities shall have the right to select one legal counsel to review and oversee comment upon any registration pursuant to this Section 2 (“"Legal Counsel”"), which shall be Xxxxxxx Xxxx Schulte Roth & Xxxxx Zabel LLP or such other counsel as thereafter designated by the designaxxx xx wxxxxng xx xxe holders of at least a majority 60% of the Registrable Securities. The Company and Legal Counsel shall reasonably cooperate with each other in performing the Company’s obligations under this Agreement.

Subject to Section 5 6 hereof, the Buyers Purchasers holding at least securities representing a majority of the Registrable Securities shall have the right to select one legal counsel to review and oversee any registration offering pursuant to this Section 2 (“Legal Counsel”), which shall be Xxxx, Weiss, Rifkind, Xxxxxxx Xxxx & Xxxxx Xxxxxxxx, LLP or such other counsel as thereafter designated by the holders of securities representing at least a majority of the Registrable Securities. The Company and Legal Counsel shall reasonably cooperate with each other Legal Counsel in performing the Company’s obligations under this Agreement.

The Company and Legal Counsel shall reasonably cooperate with each other in performing the Company’s 's and the Investors' obligations under this Agreement.

The Company and Legal Counsel shall reasonably cooperate with each other Legal Counsel in performing the Company’s 's obligations under this Agreement.

The Company and Legal Counsel shall reasonably cooperate with each other Legal Counsel in performing the Company’s 's obligations under this Agreement.

Legal Counsel. Subject to Section 5 hereof, the Buyers holding at least a majority of the Registrable Securities shall have the right to select one legal counsel to review and oversee as their counsel any registration offering pursuant to this Section 2 (“"Legal Counsel”"), which shall be Xxxxxx Xxxxxxx Xxxx Xxxxx & Xxxxx Xxxxxx LLP or such other counsel as thereafter designated by the holders of at least a majority of the Registrable Securities. Subject to Section 5 hereof, the Buyers holding securities representing at least a majority two-thirds (2/3) of the Registrable Securities shall have the right to select one legal counsel to review and oversee review, on behalf of the Buyers, any registration pursuant to this Section 2 (“Legal Counsel”), which shall be Xxxxxxx Xxxx & Xxxxx LLP Xxxxxx Xxxxxx Xxxxxxxx LLP, or such other counsel as thereafter designated in writing to the Company by the holders of at least a majority two-thirds (2/3) of the Registrable Securities.
