Common use of Legal Construction Clause in Contracts

Legal Construction. In case any one or more of the provisions contained in this Agreement shall be invalid or unenforceable in any respect, the validity and enforceability of the remaining provisions contained herein shall not in any way be affected or impaired thereby and the parties will attempt to agree upon a valid and enforceable provision which shall be a reasonable substitute for such invalid and unenforceable provision in light of the tenor of this Agreement, and, upon so agreeing, shall incorporate such substitute provision in this Agreement.

Legal Construction. In case any one or more of the provisions contained in this Agreement shall for any reason be invalid held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision thereof and this Agreement shall be construed as if such invalid, illegal, or unenforceable provision had not been contained herein. This Agreement shall be enforced to the validity and enforceability maximum extent possible so as to give effect to the intent of the remaining provisions contained herein Parties and shall not in any way be affected or impaired thereby and reformed without further action by the parties will attempt Parties to agree upon a the extent necessary to make such provision valid and enforceable provision which shall be a reasonable substitute for such invalid and unenforceable provision in light of the tenor of this Agreement, and, upon so agreeing, shall incorporate such substitute provision in this Agreementherein.
