Legal and Professional Fees. Buyer and Seller will each pay all legal and professional fees and fees of other consultants incurred by Buyer and Seller, respectively.

The Company shall pay to the Executive all reasonable legal and professional fees and expenses incurred by the Executive in seeking to obtain or enforce any right or benefit provided by this Agreement, provided that the Executive was successful in an action seeking to enforce such right or benefit.

The Borrower shall have paid to the Administrative Agent and the Lenders all legal and professional fees and expenses incurred by the Administrative Agent and the Lenders in connection with the preparation, negotiation and execution of the Amendment and any documents required to be furnished herewith, including but not limited to all current and previously outstanding legal and professional fees, as set forth in the fees and expenses letter delivered to the Administrative Agent on the Amendment Closing Date.

The Corporation will reimburse the Executive for all legal and professional fees incurred by the Executive in negotiating, drafting and executing this Agreement and concurrent agreements between the Executive and (i) Las Plumas Partners, L.P. and (ii) Rose Partners, L.P.
