Lease Exhibit. The only leases or other occupancy agreements to which Seller is a party or is bound affecting any Project are set forth in the Lease Exhibit attached hereto as Exhibit I (the “Lease Exhibit”). The Lease Exhibit shall from time to time be updated pursuant to matters permitted under the terms of Article 6, and each update shall not constitute a breach of warranties, provided that any new matters are permitted hereunder. With respect to each Project included in a Closing, at the Closing, Seller shall provide an updated version of the Lease Exhibit for attachment as an exhibit to the Assignment. With respect to each Lease set forth in the Lease Exhibit, (i) the Lease is in full force and effect and has not been further amended or modified except as otherwise set forth in the Lease Exhibit, or from time to time permitted under the terms of Article 6, and (ii) no Tenant has notified Seller, in writing: (A) requesting a reduction in the rent payable under the Lease, (B) advising Seller that the Tenant intends to assign its interest under the Lease, (C) requesting any modification or termination of the Lease or (D) indicating that such Tenant has commenced a voluntary case or has had entered against it an order for relief under the U.S. Bankruptcy Code (Title 11 of the United States Code).

Lease Exhibit. There are no leases or other occupancy agreements (including any amendments and modifications thereto) affecting the Property other than as identified in the Lease Exhibit and the new leases entered into by Seller in accordance with this Agreement. Seller has provided to Buyer true, correct and complete copies of all Leases. Seller shall provide an updated version of the Lease Exhibit to Buyer as an exhibit to the Assignment. Seller has not entered into any Lease concerning the Property except with the Tenants disclosed on the Lease Exhibit. Seller has not delivered any notice of default to a Tenant that remains uncured except as set Forth on the Disclosure Schedule. Seller has not received any written notice of default from a Tenant in accordance with the terms of such Tenant's Lease with respect to any default by Seller thereunder that remains uncured, and Seller is not currently and actually aware of any default by Seller or a Tenant under a Lease which remains uncured, except as set forth on the Disclosure Schedule. To the best of Seller's knowledge, there are no grounds for any claim of a landlord default pursuant to the TK Lease.

Seller has not received any written notice from any tenant of the Property asserting or alleging that Seller is in default under such Tenant’s Lease, and Seller has not sent to any tenant of the Property any written notice alleging or asserting that such Tenant is in default under such Tenant’s Lease.
