LC Agent's Arrangement Fee. The Borrowers will pay to the LC Agent, for its own account, an arrangement fee, payable monthly in arrears on the first day of each month with respect to the immediately preceding month in an amount equal to (a) 1% per annum multiplied by (b) the Average Daily Maximum Facility Amount per month. The first installment of such fee shall be payable on the day following the last day of the first month following the Extension Date, with a final payment upon termination of the LC Facility.

The Company’s obligations under this Section 8 shall survive the resignation or removal of the Escrow Agent and the assignment or termination of this Agreement.
