Lawsuits and Claims. There is no suit, action, litigation or proceeding in which Seller is a party and has been served with respect to the Property, and there is no suit, action, litigation, or proceeding threatened against Seller with respect to the Property, or against any of the Property, in each case, in any court, arbitration venue or other dispute resolution venue or otherwise by or before any governmental authority.
