Lawful Authority. If any party executing this Agreement is a corporation, the person executing on behalf of the corporation hereby personally represents and warrants to all of the parties that he has been fully authorized to execute and deliver this Agreement on behalf of the corporation, pursuant to a duly adopted resolution of its board of directors or by virtue of its bylaws.
Lawful Authority. Each party executing this Agreement hereby represents and warrants to all other parties that they have been fully authorized to execute and deliver this Agreement.

If any party executing this Agreement is a corporation or limited liability company, the individual executing on behalf of the corporation or limited liability company hereby personally represents and warrants to all other parties that he/she has been fully authorized to execute and deliver this Agreement on behalf of (a) the corporation pursuant to a duly adopted resolution of its Board of Directors, or by virtue of its bylaws, or within the scope of authority of the person executing this Agreement; or (b) the limited liability company pursuant to a duly adopted resolution of its members or by virtue of its operating agreement.

The person signing or affixing his/her name and seal to this Agreement on behalf of the Borrower is authorized to sign or affix his/her name and seal to this Agreement on behalf of the Borrower in accordance with the procedures required by law, the Borrower’s Articles of Incorporation and other internal regulations.

Lawful Authority. It has full capacity of rights and action, and all lawful authorities to execute this Agreement and perform its obligations hereunder. Its authorized signatory has the valid power of attorney, resolution of the board of directors or any other necessary document issued by the Party stating that the signatory is fully authorized to execute this Agreement.
Lawful Authority. By signing below, the Parties hereby represent and warrant that they possess lawful authority to execute this Confidential Settlement Agreement and all settlement instruments on behalf of the designated Parties, to bind said Parties to the terms and conditions of this Confidential Settlement Agreement, and to perform any acts required by this Confidential Settlement Agreement.
