Late Fees and Collection Costs. If Buyer fails to pay Seller an amount owed under this Agreement by the invoice due date, then Buyer will owe Seller: (i) the delinquent amount; and (ii) a late payment fee equal to two percent (2%) of the delinquent amount for each full or partial calendar month past the invoice due date that the delinquent amount remains unpaid. In addition, if Seller has to file litigation to collect the amount owed and Seller prevails in the litigation, Xxxxx will reimburse Seller for actual, reasonable, substantiated out-of-pocket expenses incurred by Seller in collecting the delinquent amount and accrued late payment fees on the delinquent amount. Under no circumstance will the late payment fee payable to Seller exceed the amount that a creditor may lawfully impose on a debtor on a delinquent amount under Applicable Law.

In the event Customer fails to make full payment within thirty (30) of the Due Date, Customer also shall pay a late fee in the amount of the lesser of either three percent (3%) of the current charges per month or the maximum lawful rate under applicable state law. Late fees shall accrue from the Due Date. Customer shall pay any amounts incurred by NP in the collection of past due amounts owed including, but not limited to, reasonable attorneys’ fees and costs. All returned checks will be subject to a $25.00 processing fee or the maximum amount allowed by law.

Any amount not paid when due shall be subject to finance charges equal to 1.5% of the unpaid balance per month or the highest rate permitted by applicable law, whichever is less, determined and compounded daily from the date due until the date paid. You shall reimburse any costs and expenses (including, but not limited to, reasonable attorneys’ fees) incurred by us to collect any amount that is not paid when due. We may accept payment in any amount without prejudice to our right to recover the balance of the amount due or to pursue any other right or remedy. Title. Any Equipment furnished hereunder by Starlite is provided on a rental basis, and no title, right or security interest in such Equipment shall pass to the Client except for the limited use of the equipment during the event contemplated herein. You shall not assign, sublet, loan, mortgage, hypothecate or otherwise encumber the equipment or any interest therein. The Equipment shall be used only at the locations shown in this Agreement and shall not be removed from these locations without our prior written consent. The equipment shall always remain and be deemed personal property even if attached to real estate. Equipment which is to be sold in connection with this Agreement will be referenced under a separate section of Starlite’s order titled “Sales”.
Late Fees and Collection Costs. Any amounts not paid by Rupari when due will be subject to a late payment fee computed daily at a rate equal to the lesser of twelve percent (12%) per annum or the highest rate permitted under applicable usury law. In addition, Rupari shall be liable to Sparta for all costs incurred by Sparta in its collection of any amounts owing by Rupari which are not paid when due, including, without limitation, collection agency fees or reasonable attorneys' fees and expenses.
