Landlord's Right to Contest Impositions. In addition to the right of Tenant under Section 5.2 hereof to contest the amount or validity of Impositions, Landlord shall also have the right, but not the obligation, to contest the amount or validity, in whole or in part, of any Impositions not contested by Xxxxxx, by appropriate proceedings conducted in the name of Landlord or in the name of Landlord and Tenant. If Landlord elects to contest the amount or validity, in whole or in part, of any Impositions, such contests by Landlord shall be at Landlord's sole cost and expense, provided, however, that if the amounts payable by Tenant for Impositions are reduced (or if a proposed increase in such amounts is avoided or reduced) by reason of Landlord's contest of Impositions, then Tenant shall reimburse Landlord for all costs incurred by Landlord in contesting Impositions, but such reimbursements shall not be in excess of the amount saved by Tenant by reason of Landlord's actions in contesting such Impositions.

Landlord's Right to Contest Impositions. At its own cost and after notice to Tenant of its intention to do so, Landlord may but in no event shall be obligated to contest the validity, applicability or the amount of any Impositions, by appropriate proceedings conducted in good faith and with due diligence. Nothing in this Section shall require Landlord to pay any Imposition as long as it contests the validity, applicability or amount of such Imposition in good faith, and so long as it does not allow the portion of the Premises affected by such Imposition to be forfeited to the entity levying such Imposition as a result of its nonpayment. Landlord shall give notice to Tenant within a reasonable period of time of the commencement of any such contest and of the final determination of such contest.‌
Landlord's Right to Contest Impositions. Notwithstanding anything contained in Section 4.5, Landlord shall, at all times during the term of this Lease, have the right to contest the amount or validity of any Imposition herein by appropriate legal proceedings and all fees and costs incurred by Landlord in contesting the amount or validity of any Imposition herein, whether any reduction or limitation in the amount of any such Imposition is obtained, shall be considered as part of such Imposition which Tenant shall be liable and obligated to pay to Landlord.
