Common use of Landlord Transfer Clause in Contracts

Landlord Transfer. Landlord may assign or encumber its interest under this Lease. If any portion of the Premises is sold, transferred, or leased, or if Landlord’s interest in any underlying lease of the Premises is transferred or sold, Landlord shall be relieved of all existing and future obligations and liabilities under this Lease, provided that the purchaser, transferee, or tenant of the Premises assumes in writing those obligations and liabilities.

If transfer any portion of the Leased Premises is soldand, transferredin connection therewith, or leased, or if Landlord’s interest in any underlying lease it shall assign its rights under this Lease that relate to the transferred portion of the Premises is transferred or sold, Leased Premises. If Landlord shall be relieved of all existing and future obligations and liabilities assigns its rights under this Lease, then Landlord shall thereby be released from any further obligations hereunder arising after the date of transfer, provided that the purchaser, transferee, or tenant of the Premises assignee assumes Landlord’s obligations hereunder in writing those obligations and liabilitieswriting.
