Kronos Europe S. A./N.V. (the "Belgian Guarantor"), KRONOS NORGE AS (the "Norwegian Guarantor") and KRONOS DEMARK APS (the "Danish Guarantor"), as guarantors (each a "Guarantor" and together the "Guarantors");

Kronos Europe S. A./N.V. 3. Kronos Canada, Inc. SCHEDULE 3 PRODUCTS Each Seller shall procure the following Products listed below its name:
Kronos Europe S. A./N.V., a corporation organized under the laws of the Kingdom of Belgium with its registered office at Gent, Belgium (hereinafter being referred to as "KEU").
Kronos Europe S. A./N.V., Titania A/S, Kronos Titan A/S and Kronos Canada, Inc., for each fiscal quarter (excluding the fourth quarter, except as provided below) and, commencing with the third fiscal quarter of 1993, a certificate executed by the chief financial officer of the Borrower in the form of EXHIBIT R including calculations of the provisions of SECTIONS 16.18 through 16.25, showing in reasonable detail the basis for such calculations and including (for each fiscal quarter, including the fourth quarter) calculations of Adjusted Restricted Payments made through the end of such fiscal quarter, showing in reasonable detail the basis for such calculations.

With respect to each entity listed below that is also listed as a "Seller" on Schedule 1 attached hereto, the parties understand and agree that such entity is included in the Agreement for purposes of selling to, or purchasing from, other Distributors and Sellers, respectively, hereunder and not itself.

With respect to each entity listed below that is also listed as a "Provider" on Schedule 1 attached hereto, the parties understand and agree that such entity is included in the Agreement for purposes of selling to, or purchasing from, other Purchasers and Providers, respectively, hereunder and not itself.
Kronos Europe S. A./N.V. Human Relations, Finance & Control, Information Technology, Sales and Marketing, Treasury and Internal Audit.
Kronos Europe S. A./N.V. 3. Kronos Canada, Inc. 4. Kronos Titan AS 5. Kronos International, Inc. SCHEDULE 2 AGENT The following entities are each an "Agent" under the Agreement. With respect to each entity listed below that is also listed as a "Seller" on Schedule 1 attached hereto, the parties understand and agree that such entity is included in the Agreement for purposes of selling to, or purchasing from, other Agents and Sellers, respectively, hereunder and not itself.
