Common use of Knowledge of Trustee Clause in Contracts

Knowledge of Trustee. Notwithstanding the provisions of this Article or any other provisions of this Indenture, the Trustee shall not be charged with knowledge of the existence of any facts that would prohibit the making of any payment of moneys to or by the Trustee, or the taking of any other action by the Trustee, unless and until the Trustee shall have received written notice thereof mailed or delivered to the Trustee at its Corporate Trust Office from the Issuer, any Holder, any paying agent or the holder or representative of any class of Senior Indebtedness; provided that if at least three Business Days prior to the date upon which by the terms hereof any such moneys may become payable for any purpose (including, without limitation, the payment of the principal or interest on any Security or interest on any Coupon) the Trustee shall not have received with respect to such moneys the notice provided for in this Section, then, anything herein contained to the contrary notwithstanding, the Trustee shall have full power and authority to receive such moneys and to apply the same to the purpose for which they were received and shall not be affected by any notice to the contrary that may be received by it within three Business Days prior to or on or after such date.

Notwithstanding the provisions of this Article or any other provisions of this Indenturesupplemental indenture, the Trustee shall not be charged with knowledge of the existence of any facts that would prohibit the making of any payment of moneys under the Guarantee to or by the Trustee, or the taking of any other action by the Trustee, unless and until the Trustee shall have received written notice thereof mailed or delivered to the Trustee at its Corporate Trust Office from the IssuerCredit Supporter, any Holder, any paying agent or the holder or representative of any class of Guarantor Senior Indebtedness; provided that if at least three Business Days prior to the date upon which by the terms hereof any such moneys may become payable for any purpose (including, without limitation, the payment of the principal or interest on any Security or interest on any Coupon) the Trustee shall not have received with respect to such moneys the notice provided for in this Section, then, anything herein contained to the contrary notwithstanding, the Trustee shall have full power and authority to receive such moneys and to apply the same to the purpose for which they were received and shall not be affected by any notice to the contrary that may be received by it within three Business Days prior to or on or after such date.

Notwithstanding the provisions of this Article Fourteen or any other provisions of this Indenture, the Trustee shall not be charged with the knowledge of the existence of any facts that which would prohibit the making of any payment of moneys to or by the Trustee, or the taking of any other action by the Trustee, unless and until the Trustee shall have received written notice thereof mailed or delivered to the Trustee at its Corporate Trust Office from the Issuer, any Holder, any paying agent Company or from the holder or the representative of any class of Senior Indebtedness; provided provided, however, that if at least three Business Days two business days prior to the date upon which by the terms hereof any such moneys monies may become payable for any purpose (including, without limitation, the payment of either the principal cash amount payable at maturity or interest on any Security or interest on any CouponDebenture) the Trustee shall not have received with respect to such moneys monies the notice provided for in this SectionSection 14.06, then, anything herein contained to the contrary notwithstanding, the Trustee shall have full power and authority to receive such moneys monies and to apply the same to the purpose for which they were received received, and shall not be affected by any notice to the contrary that contrary, which may be received by it within three Business Days prior to or on or after such two business days prior to such date.

Notwithstanding the provisions of this Article or any other provisions of this Indenture, the Trustee shall not be charged with knowledge of the existence of any facts that would prohibit the making of any payment of moneys to or distribution by the Trustee, or and the taking Trustee and Paying Agent may continue to make payments on the Securities, unless a Responsible Officer of any other action the Trustee having responsibility for the administration of the trust established by the Trustee, unless and until the Trustee Indenture shall have received written notice thereof mailed or delivered from the Company expressly directing the Trustee that such payment cannot be made and, prior to the Trustee at its Corporate Trust Office from the Issuer, any Holder, any paying agent or the holder or representative receipt of any class of Senior Indebtednesssuch written notice, the Trustee shall be entitled in all respects to assume that no such default or facts exist; provided provided, however, that if at least three unless on the third Business Days Day prior to the date upon which by the terms hereof any such moneys may become payable for any purpose (including, without limitation, the payment of the principal or interest on any Security or interest on any Coupon) the Trustee shall not have received with respect to such moneys the notice provided for in this SectionSection 5.07, then, anything herein contained to the contrary notwithstanding, the Trustee shall have full power and authority to receive such moneys and to apply the same to the purpose for which they were received received, and shall not be affected by any notice to the contrary that which may be received by it within three Business Days prior to or on or after such date.

Notwithstanding the provisions of this Article or any other provisions of this Indenture, neither the Trustee nor the Paying Agent shall not be charged with knowledge of the existence of any facts that would prohibit the making of any payment of moneys to or by the TrusteeTrustee or the Paying Agent, or the taking of any other action by the TrusteeTrustee or the Paying Agent, unless and until a Responsible Officer of the Trustee or the Paying Agent has actual knowledge or unless same shall have received written notice thereof mailed or delivered to the Trustee at its Corporate Trust Office or the Paying Agent, and such notice clearly references the Securities, the Company or this Indenture, from the Issuer, Company or any Holder, any paying agent or the holder or representative of any class of Senior Indebtedness; provided that if at least three Business Days prior to the date upon which by the terms hereof any such moneys may become payable for any purpose (including, without limitation, the payment of the principal or interest on any Security or interest on any CouponSecurity) the Trustee or the Paying Agent shall not have received with respect to such moneys the notice provided for in this Section, then, anything herein contained to the contrary notwithstanding, the Trustee shall have full power and authority to receive such moneys and to apply the same to the purpose for which they were received and shall not be affected by any notice to the contrary that may be received by it within three Business Days prior to or on or after such date.

Knowledge of Trustee. Notwithstanding the provisions of this Article 5 or any other provisions of this Indenture, the Trustee shall not be charged with knowledge of the existence of any facts that would prohibit the making of any payment of moneys to or distribution by the Trustee, or and the taking Trustee and Paying Agent may continue to make payments on the Securities, unless a Responsible Officer of any other action the Trustee having responsibility for the administration of the trust established by the Trustee, unless and until the Trustee Indenture shall have received written notice thereof mailed or delivered from the Company expressly directing the Trustee that such payment cannot be made and, prior to the Trustee at its Corporate Trust Office from the Issuer, any Holder, any paying agent or the holder or representative receipt of any class of Senior Indebtednesssuch written notice, the Trustee shall be entitled in all respects to assume that no such default or facts exist; provided provided, however, that if at least three unless on the third Business Days Day prior to the date upon which by the terms hereof any such moneys may become payable for any purpose (including, without limitation, the payment of the principal or interest on any Security or interest on any Coupon) the Trustee shall not have received with respect to such moneys the notice provided for in this SectionSection 5.07, then, anything herein contained to the contrary notwithstanding, the Trustee shall have full power and authority to receive such moneys and to apply the same to the purpose for which they were received received, and shall not be affected by any notice to the contrary that which may be received by it within three Business Days prior to or on or after such date.

Notwithstanding the provisions of this Article Section 2.15 or any other provisions of this Indenture, the Trustee shall not be charged with knowledge of the existence of any facts that would prohibit the making of any payment of moneys to or by the Trustee, or the taking of any other action by the Trustee, unless and until the Trustee shall have received written notice thereof mailed or delivered to the Trustee at its Corporate Trust Office from the Issuer, any Holder, any paying agent or the holder or representative of any class of Issuer Senior Indebtedness; provided that if at least three five Business Days prior to the date upon which by the terms hereof any such moneys may become payable for any purpose (including, without limitation, the payment of the principal or interest on any Security or interest on any CouponNote) the Trustee shall not have received with respect to such moneys the notice provided for in this Sectionsection, then, anything herein contained to the contrary notwithstanding, the Trustee shall have full power and authority to receive such moneys and to apply the same to the purpose for which they were received and shall not be affected by any notice to the contrary that may be received by it within three five Business Days prior to or on or after such date.
