Common use of Knowledge of the Company Clause in Contracts

Knowledge of the Company. Whenever the term "knowledge of the Company" or "best knowledge of the Company Parties" or words of similar import are used in this Agreement or any other Investment Document with respect to the existence or absence of any fact, it shall mean that any one or more of the following Persons knows or should have known, based upon the reasonable inquiry of such Person, of the existence or absence of such fact: Xxxxx Xxxxx, Xxxxxxx X. Xxxxxxx or Xxxxxxx X. Xxxxxxx.

Knowledge of the Company. Whenever the term "“knowledge of the Company" ” or "“best knowledge of the Company Parties" ” or words of similar import are used in this Agreement or any other Investment Document with respect to the existence or absence of any fact, it shall mean that any one or more of the following Persons knows or should have known, based upon the reasonable inquiry of such Person, of the existence or absence of such fact: Xxxxx Jxxxx Xxxxx, Xxxxxxx Jxxx Steinbrun, Rxxxxxx X. Xxxxxxx or Xxxxxxx Wxxxxxx X. Xxxxxxx.

Xxxxxxx or Xxxxxxx X. Xxxxxxx.
