Common use of Knowledge of the Company Clause in Contracts

Knowledge of the Company. Where any representation or warranty made by the Company contained in this Agreement is expressly qualified by reference to its knowledge, such knowledge shall be deemed to exist if the matter is within the knowledge of the executive officers of the Company.

Knowledge of the Company. Where any representation or warranty made by the Company contained in this Agreement is expressly qualified by reference to its knowledge, such knowledge shall be deemed to exist if the matter is within the knowledge of any of the Sellers and/or the executive officers of the Company.

Where any representation or warranty made by the Company any party contained in this Agreement is expressly qualified by reference to its knowledge, such knowledge shall be deemed to exist if the matter is within the actual knowledge of any of the directors, managers and/or the executive officers of such party, after having made due inquiry of the Companydirectors, managers and executive officers of such party who would be expected to have knowledge of the matter.
