Common use of Knowledge of the Company Clause in Contracts

Knowledge of the Company. All references to the knowledge of the Company or any other Group Member or to facts known by the Company or any other Group Member shall mean actual knowledge or notice of any Director or executive officer of the Company, any other Group Member or any division of the Company or any other Group Member or knowledge which such Person could reasonably have acquired through the exercise of due inquiry.

Knowledge of the Company. All references to the knowledge of the Company or any other Group Member or to facts known by the Company or any other Group Member shall mean actual knowledge or notice of any Director the Chairman, Chief Executive Officer, President, Chief Financial Officer or other executive officer of the Company, any other Group Member of its Subsidiaries or any division of the Company or any other Group Member of its Subsidiaries or knowledge which such Person could reasonably have acquired through the exercise of due inquiry.

Knowledge of the Company. All references to the knowledge of the ------------------------ Company or any other Group Member or to facts known by the Company or any other Group Member shall mean actual knowledge or notice of its Chief Executive Officer, President, Chief Financial Officer or other executive officer or any Director Chief Executive Officer, Chief Financial Officer or other executive officer of any Subsidiary (prior to giving effect to the Company, any other Group Member Acquisition) or any division of the Company or any other Group Member thereof or knowledge which such Person could reasonably have acquired through the exercise of due inquiry.

Knowledge of the Company. All references to the knowledge of the Company or any other Group Member or to facts known by the Company or any other Group Member shall mean actual knowledge of, or notice of to, (i) the Chairman, Chief Executive Officer, President, Chief Financial Officer, Vice President-Finance or any Director or other executive officer of the Company, Company or any other Group Member Subsidiary or any division of the Company or any other Group Member Subsidiary and (ii) with respect to representations and warranties made as of the date hereof and as of the First Closing only, any director of the Company or knowledge which such Person could reasonably have acquired through any Subsidiary of the exercise of due inquiryCompany.

All Reference herein to "the Company's knowledge" or "knowledge of Company" or similar references shall mean to the knowledge best of the knowledge, information and belief of the Company or any other Group Member or to facts known by and its Subsidiaries after having made all due inquiries of the Company or any other Group Member shall mean actual knowledge or notice of any Director or executive officer senior management and operating personnel of the Company, any other Group Member or any division its Subsidiaries and FACS Management and after having reviewed such books, records and information in the possession of the Company Company, its Subsidiaries and FACS Management or any other Group Member or knowledge which such Person could reasonably have acquired through subject to their control relating to the exercise of due inquiryBusiness.
