Common use of Knowledge of the Company Clause in Contracts

Knowledge of the Company. For all purposes of this Agreement, the phrase “to the Company’s knowledge” and “known by the Company” and any derivations thereof shall mean as of the applicable date, the actual knowledge of the Company Knowledge Parties, none of whom shall have any personal liability or obligations regarding such knowledge.

Knowledge of the Company. For all purposes of this Agreement, the phrase “to the Company’s knowledge,” and “to the knowledge of the Company,” “known by the Company” and any derivations thereof or phrases having similar import thereto shall mean as of the applicable date, the actual knowledge after due inquiry (and shall in no event encompass constructive, imputed or similar concepts of knowledge) of the Company Knowledge PartiesKey Employees, none of whom shall have any personal liability or obligations regarding such knowledge, except in their capacities as Sellers, if applicable.

Knowledge of the Company. For all purposes of this Agreement, the phrase “to the Company’s knowledge” and “known by the Company” and any derivations thereof shall mean as of the applicable datedate hereof, the actual knowledge of Xxxx Xxxxxx and Xxxxx Xxxxx, and in each case, with a duty of investigation or inquiry (and shall in no event encompass “constructive” or similar concepts of imputed knowledge). The Company’s knowledge shall also be limited by the Company Knowledge Partiesperiod of its ownership of the Business which began September 1, none of whom shall have any personal liability or obligations regarding such knowledge2010.

For all purposes of this Agreement, the phrase “"to the Company’s 's knowledge” ", "to the knowledge of the Company" and “"known by the Company” and any derivations thereof " shall mean as of the applicable date, the actual knowledge of the Company Knowledge PartiesXxxx Xxxxx or Xxxxx Xxxxx, none in each case after making due inquiry of whom shall have any personal liability or obligations regarding their respective direct reports having primary responsibility for such knowledgematter.

For all purposes of this Agreement, the phrase phrases “to the Knowledge of the Company” and “to the Company’s knowledgeKnowledge” and “known Known by the Company” and any derivations thereof shall mean as of the applicable date, the actual knowledge of the Company Knowledge PartiesAugust Xxxxxxxxx, Xxxxxxx X. Xxxxxx and Xxxx X. Xxxxxxxx (none of whom shall have any personal liability or obligations regarding such knowledge), after making reasonable inquiry of employees of the Group Companies generally responsible for the subject matter to which knowledge is pertinent.

Knowledge of the Company. For all purposes of this Agreement, the phrase “to the Company’s knowledge” and “known by the Company” and any derivations thereof shall mean as of the applicable date, (a) the actual knowledge of the Company Knowledge PartiesKey Employees and (b) the knowledge the Key Employees would be deemed to have following due inquiry of those individuals involved in the operation of the business of the Group Companies who report directly to the Key Employees, none of whom shall have any personal liability or obligations regarding such knowledge.
