Buyer agrees to reimburse Seller for all costs relating to such remediation, including the amounts set forth in that certain bid letter of U.S. Engineering Company, dated as of January 16, 2004 provided, however, that Seller shall obtain Buyer’s consent prior to incurring any such costs (other than costs set forth in such bid letter) and, provided further that Buyer shall not unreasonably withhold such consent.
