Common use of Jurisdiction and Forum Clause in Contracts

Jurisdiction and Forum. The state courts located in the Commonwealth of Kentucky will have exclusive jurisdiction over any claim or dispute concerning or arising out of this Agreement. The Parties hereby irrevocably consent to the exclusive jurisdiction of such courts and irrevocably waive any claim of inconvenient forum; provided that, notwithstanding the foregoing, either Party will have the right to seek injunctive relief and the enforcement of judgments in any court of competent jurisdiction.

Jurisdiction and Forum. The state and federal courts located in the Commonwealth of Kentucky will shall have exclusive jurisdiction over any claim or dispute concerning or arising out of this Agreement and shall apply the laws of the Commonwealth of Kentucky (excluding its body of law controlling conflicts of law) in construing and interpreting this Agreement. The Parties hereby irrevocably consent to the exclusive jurisdiction of such courts and irrevocably waive any claim of inconvenient forum; provided that, notwithstanding the foregoing, either Party will shall have the right to seek injunctive relief and the enforcement of judgments in any court of competent jurisdiction, no matter where located.
