JUDICIAL ORDER. The fixed-time deposit may be terminated earlier under the order of a competent authority. In the event that the order affects only part of the deposit, it may be maintained over the sum not affected by the order, in the same terms and conditions as it was agreed at the time of opening, provided that, in accordance with the standards required by THE BANK, such sum is sufficient to qualify as a fixed-time deposit. Otherwise, the entire deposit shall terminate earlier, from the moment the order is received, and the unaffected sum shall be deposited into a savings account at the rate established to date by THE BANK for this type of accounts. In the absence of a savings account, the unaffected sum shall be delivered through a cashier’s check to the deposit holders.
JUDICIAL ORDER. In the event that each Party is ordered to disclose the other Party’s Confidential Information pursuant to a judicial or government request, requirement or order, such Party shall promptly notify the other Party and shall take reasonable steps to assist the other Party in contesting such request, requirement or order or in otherwise protecting the other Party’s rights prior to disclosure.
JUDICIAL ORDER. In the event that Lead Provider or the Approved Affiliate Lead Provider, as applicable, is ordered to disclose the Confidential Information pursuant to a judicial or government request, requirement or order, Lead Provider or the Approved Affiliate Lead Provider, as applicable, shall promptly notify Company and take reasonable steps to assist Company, at Company's expense, in contesting such request, requirement or order or in otherwise protecting Company's rights prior to disclosure. If, after providing such notice and assistance as required herein, Lead Provider or the Approved Affiliate Lead Provider, as applicable, is required to disclose any Confidential Information, Lead Provider or the Approved Affiliate Lead Provider, as applicable, shall disclose no more than that portion of Confidential Information that is specifically required to be disclosed.
JUDICIAL ORDER. Upon receipt by the Escrow Agent of a final and non-appealable judgment, order, decree or award of a court of competent jurisdiction (a “Court Order”), the Escrow Agent shall deliver the Escrow Funds in accordance with the Court Order. Any Court Order shall be accompanied by an opinion of counsel for the party presenting the Court Order to the Escrow Agent (which opinion shall be satisfactory to the Escrow Agent) to the effect that the court issuing the Court Order has competent jurisdiction and that the Court Order is final and non-appealable.
JUDICIAL ORDER. No Judgment issued by a Government Authority whose effect is that the transactions considered in this Contract do not materialize in accordance with the provisions of this Contract, shall have been issued and shall be in force.
JUDICIAL ORDER. The obligation of nondisclosure in this Agreement shall not be breached by disclosure required in a judicial proceeding or governmental investigation, provided the Receiving Party gives the Disclosing Party prior written notice of such requirement and affords the Disclosing Party an opportunity to oppose such disclosure or seek a protective order.
JUDICIAL ORDER. In the event that the Receiving Party is ordered to disclose the Disclosing Party's Confidential Information pursuant to a judicial or government request, requirement or order, the Receiving Party will promptly notify the Disclosing Party and take reasonable steps to assist the Disclosing Party, at the Disclosing Party's expense, in contesting such request, requirement or order or in otherwise protecting the Disclosing Party's rights prior to disclosure.
JUDICIAL ORDER. An order shall have been issued by the United States Bankruptcy Court for the District of Maryland approving the global settlement described in the Term Sheet which provides for the sale of the Stock.
JUDICIAL ORDER. If a judicial or governmental request or order seeks Confidential Information, Recipient may disclose that Confidential Information as requested or ordered. But, if permitted by applicable law, Recipient must notify Discloser before disclosing the Confidential Information and cooperate with Discloser's reasonable requests in seeking a protective order or limiting the effect of that disclosure.
JUDICIAL ORDER. Notwithstanding the foregoing, nothing in this Agreement shall restrict the right of either Party to this Agreement from disclosing such Proprietary Information pursuant to a judicial order issued by a court of competent jurisdiction, or other valid and binding court order for discovery, but only to the extent so ordered; provided, however, that the Party so ordered shall promptly notify the other Party to this Agreement, in writing, to permit adequate time for response by the affected Party. Receiving Party shall provide all reasonable assistance, at Disclosing Party’s expense and direction, in opposing such disclosure order.
