Covered Entity may terminate the Underlying Agreement, effective immediately, if (i) Business Associate is named as a defendant in a criminal proceedings for a violation of the HIPAA Rules or other security or privacy laws; or (ii) a finding or stipulation that the Business Associate has violated any standard or requirement of the HIPAA Rules or other security or privacy laws is made in any administrative or civil proceeding in which Business Associate has been joined.
