Common use of Judgment and Proceedings Clause in Contracts

Judgment and Proceedings. (1) The entry of any judgment or decree against Originator or any of its Subsidiaries, in each case, which is reasonably likely to create liability to such Person in excess of $10,000,000 in the aggregate for all such circumstances; or (2) the institution of any material litigation, arbitration proceeding or governmental proceeding against Originator.
